Exercise of employee share options

Following the market close on April 27, 2016,

employees in Nordic Semiconductor ASA have exercised

41,000 share options in Nordic Semiconductor ASA.

The options contracts were granted to employees with

a strike price of NOK 38.43 and a "cap" of NOK

150.00 upon cash settlement.

Following the share option exercise, the Board of

Directors, pursuant to authorization granted by the

company`s Annual General Meeting, has resolved to

increase the Company`s share capital by NOK 410 by

issuing 41 000 new shares, of par value NOK 0,01.

Following the increase the Company`s share capital is

NOK 1,634,816 divided into 163,481,600 shares.

All expenses related to the options exercise have

already been recognized in previous quarters, and

the options settlement has no net impact on the

operating expenses of the company in the current or

future quarters.

After this transaction, the total number of options

issued in Nordic Semiconductor ASA shares under the

employee option program is 3.730,503.
