GOGL - Change of ISIN and ticker for GOGL R shares

Reference is made to the GOGL R shares (the "GOGL R Shares") in Golden Ocean

Group Limited (the "Company") issued in February 2016 pursuant to a private

placement and a subsequent offering. The GOGL R Shares are currently registered

on ISIN BMG396371301 and trading under the ticker "GOGL R".

The GOGL R Shares will assume the ordinary ISIN of the Company and trade under

the Company's ordinary ticker "GOGL" pursuant to the time line below:

September 21, 2016:     Inclusive date. The last day the GOGL R Shares will

trade under the ticker "GOGL R" and ISIN BMG396371301 on the Oslo Stock

Exchange.

September 22, 2016:     Effective date, i.e. first date the GOGL R Shares will

trade under the ticker "GOGL" and ISIN BMG396372051 on the Oslo Stock Exchange.

September 23, 2016:     Record date.

September 26, 2016:     ISIN change in VPS effective.

Upon completion of the ISIN change, the shares formerly traded under the ticker

"GOGL R" will no longer be subject to the U.S. transfer restrictions having been

placed on the GOGL R Shares and all of the Company's 105,945,238 shares will

trade under the ticker "GOGL" and ISIN BMG396372051 on the Oslo Stock Exchange.

The above does not imply any changes to the Company's share capital.
