Grant of share options

On April 17th, 2018, the Annual General Meeting of Nordic Semiconductor ASA approved the issue of up to 2.7 million options for use in an employee stock option program in 2019, equivalent to approximately 1.7% of the company’s outstanding share capital.

Today, on the 15th March 2019, the company has granted 1,752,366 stock options to employees under this program. This option program is long-term in nature as options are exercisable over a three-year period and expire after five years. The options were granted at a strike price of NOK 39,44, (10% above volume weighted average share price the five days prior to the grant date). The maximum value of options under the program is capped at three times the strike price.

The minutes of the December 8th, 2015 EGM contain further details of the option plan.

A proposal for a separate executive Long Term Incentive Program for 9 executives of the company will be brought before the company AGM on April 24th, 2019. These 9 executives will not receive stock options under the program as announced today.

Employee Board member Jon Helge Nistad has been granted 2,935 share options. Following this transaction, he holds 12,936 options in the Company.

Employee Board member Asbjørn Sæbø has been granted 3,644 share options. Following this transaction, he holds 10,000 shares and 15,745 options in the Company.

Employee Board member Susheel Ray Nuguru has been granted 2,706 share options. Following this transaction, he holds 2,706 options in the Company.

Group Accounting Manager Irene Eilertsen has been granted 3,173 share options. Following this transaction, she holds 18,242 options in the Company.

IR Manager Kine-Elena Reigstad has been granted 2,973 share options. Following this transaction, she holds 7,573 options in the Company.

Business Analyst Thomas Larsen has been granted 2,490 share options. Following this transaction, he holds 13,241 options in the Company.
