ANNOUNCEMENT ABOUT THE CHANGE OF THE SHARE CAPITAL COMPOSITION

Rome, December 19th , 2024 – doValue S.p.A. ("doValue" or the "Company"), pursuant to Article 85-bis of Consob Regulation no. 11971/1999, announces the new composition of the share capital (fully subscribed and paid in) following the issuance of n. 170,140,355 ordinary shares without par value as part of the rights issue completed on December 18 th 2024.

The current composition of the share capital is shown below, with a comparison to the previous share capital:

In accordance with Article 2444 of the Italian Civil Code, the certification of completion of the capital increase has been filed with the Companies' Register of Verona on December 18th, 2024, along with the new version of the Company's By-laws, updated with the new amount of share capital.

The new version of doValue S.p.A.'s By-laws is made available to the public at the Company's headquarters, on the Company's website (www.dovalue.it) in the section "Governance" and on the website of the authorized storage mechanism eMarket Storage ().
