LANDI RENZO: RESULTS OF THE OPTION CAPITAL INCREASE

Subscribed 82.83% of the New Shares

Cavriago (RE), December 17, 2024 - Landi Renzo S.p.A. ("Landi Renzo" or the "Company" and, together with its subsidiaries, the "Group") announces that, in the context of the option capital increased approved by the Board of Directors on November 6, 2024 pursuant to the delegation granted by the Shareholders' Meeting on September 24, 2024 (the "Option Capital Increase"), as a result of (i) the subscription period, and (ii) the stock market auction of the unexercised rights (the "Rights Auction"), no. 7,916,804 newly issued shares have been subscribed (the "New Shares"), representing approximately 62.83% of the total number of newly issued shares arising from the option capital increase.

On December 13, 2024, the Board of Directors planned, in response to the willingness to do so expressed by the majority shareholder GBD green by definition S.p.A. ("GBD"), to offer to GBD - under the same conditions and at the same price per share equal to Euro 1.984 (including share premium) - no. 2,520,161 of the remaining no. 4,683,196 New Shares that remained unexercised as a result of the Rights Auction.

On the date hereof, GBD subscribed all no. 2,520,161 New Shares offered to it, for a countervalue equal to Euro 4,999,999.42.

Accordingly, the Option Capital Increase transactions were completed today, as a result of which a total of no. 10,436,965 New Shares were subscribed, for a countervalue equal to Euro 20,706,938.56, corresponding to 82.83% of the total number of New Shares arising from the Option Capital Increase.

In accordance with the provisions of Article 2444 of the Italian Civil Code, the certificate of the subscription of the Option Capital Increase, indicating the new share capital, will be filed with the Companies' Register of Reggio Emilia within the terms of the law.
