SIMONE S.P.A. ANNOUNCES THE SUBSCRIPTION OF THE 1.5 MILLION EURO LOAN BY BANCA VALSABBINA S.C.p.A.

Milan, 17 th December 2024 – Simone S.p.A. ("Simone" or the "Company"), a company operating in the publishing sector listed on Euronext Growth Milan, announces that, today, Banca Valsabbina S.C.p.A. subscribed to the entire bond issue for a maximum amount of 1.5 million Euro resolved by the Board of Directors on 27 November 2024 (see related press release on the company's website and on Sdir).

As previously communicated, this simple bond, named "Simone S.p.A. TV Eu6M + 2.35% 2024 – 2030", non-convertible, non-subordinated, unlisted, will be used to conclude strategic extraordinary finance transactions for the development of the business, in line with the market opportunities and programmatic growth lines declared during the IPO.

Banca Valsabbina S.C.p.A. acted as sole investor, also covering the main roles related to the issue and on-going management of the security. This transaction is part of the 'Smart Minibond' programme launched by the Banca Valsabbina Group, which aims to support the investment and growth of Italian SMEs that are listed or intend to approach the capital and private debt markets.

The issue, subdivided into ten non-divisible bonds of a value of 150.000 Euro each, is subject to the dematerialised and centralised management regime at Monte Titoli S.p.A.; the bonds will be repaid based on a constant principal repayment plan (Italian style) with six-monthly payments, starting from December 2025, once the pre-amortisation period of 12 months from the issue date has elapsed.

Thanks to the bond loan, we will be able to activate a new extraordinary finance operation that will increase the company's ability to make the most of the opportunities that have been created, and without affecting the current liquid assets that are at the service of organic growth, with a view to development and management of resources in the long term".
