Announcement regarding possible offer - receipt of alternative proposal

The board of directors (the "Board") of Entra ASA (the "Company") notes the

recent announcement made by Samhällsbyggnadsbolaget i Norden AB ("SBB"). The

Board confirms that it has received a non-binding proposal from SBB regarding a

possible offer for the Company's shares (the "Potential Offer"). The offer

described in the aforementioned announcement seems to be on substantially the

same terms as set out in the Potential Offer. While there has been some contact

between the parties, the announcement has been made without the consent of or in

consultation with the Company and the Board.

The Board has, with the assistance of its advisors, considered the Potential

Offer, including the financial terms presented therein. While the Board

appreciates the interest in Entra, the Board has concluded, and already conveyed

to SBB prior to the announcement, that the Potential Offer will not be

recommended by the Board.

Further, the Company informs that it prior to today's offer from SBB has

received a separate non-binding proposal from another party that may or may not

lead to an offer for the shares in the Company.

Shareholders are advised to refrain from taking any action in respect of their

shares in the Company that may be prejudicial to their interests. In particular,

the Board notes that any accumulation of shares by any party may impact the

opportunity for other parties to engage, which may impact the possibility for

maximizing the value of Entra for the shareholders.

The Board has engaged ABG Sundal Collier ASA and Wikborg Rein Advokatfirma AS as

its financial and legal advisor, respectively.

There can be no certainty that any offer will be made or completed. Further

announcement will be made when appropriate.'
