Carasent ASA: New share capital resolved

Reference is made to the release dated December 9 concerning the acquisition of Avans Soma AS where 50 % of the consideration is agreed to be new shares in Carasent ASA.

The Board of Carasent ASA has now resolved to issue the required 2.211.191 new shares valued at NOK 27,70 per share. The share capital is increased by NOK 2.945.306,41 to NOK 73.306.831,70. Total number of shares will be 55.035.159 at par value NOK 1,332. The new shares will be issued on a separate ISIN number until a listing prospectus is approved by the Norwegian Financial Supervisory Authority (NSFA).

The total payment for the shares, NOK 61.250.000 million is made against the issued seller’s note. The shares are subscribed for by Rieber & Søn on behalf of the sellers. All selling shareholders have entered into a lock-up agreement of 15 months for the new shares.
