KONGSBERG enter into an agreement for purchase of own shares for employee share program

Since 1996 KONGSBERG has conducted share purchase program for employees. The board of directors in KONGSBERG have decided to carry out a share purchase program also in 2021.

For the 2021 share purchase programme KONGSBERG will acquire shares for a value of up to MNOK 320, and KONGSBERG has awarded DNB Markets with the mandate to execute the trades. The mandate is valid from 15 March 2021, and DNB Markets will start the purchasing of shares on or about that date. The total amount will be finally decided based on the total commitment from the employees but will not exceed MNOK 320. The shares will be transferred to the employees who have chosen to participate in the program immediately after the purchase has been completed. DNB Markets will make its own decisions related to the purchase of the shares independently of, and without influence from the company with regard to the timing of purchase.

The power of attorney to acquire own shares was granted to the company by the annual general meeting on 14 May 2020. The power of attorney states that states that the purchase of own shares must be done at a price between NOK 25 and NOK 300 per share and applies to the purchase of shares up to a total nominal amount of MNOK 9.749. The purpose of the share purchase is share program for employees and long-term incentive scheme (LTI) for senior executives. The shares will be acquired in accordance with current securities legislation and the Oslo Stock Exchange regulations.
