Exercise of employee share options in Veidekke ASA

A total of 171 participants in the Company's share option program, approved by

the Company's Annual General Meeting, have on February 22nd 2021 exercised a

total of 42 140 options at a strike price of NOK 63.55.

Following options have been exercised by primary insiders:

· Anne Thorbjørnsen have exercised 250 options at a strike price of NOK 63.55

per share. Anne Thorbjørnsen now holds 30 952 shares and 2 750 options in

Veidekke.

· Hans Olav Sørlie have exercised 250 options at a strike price of NOK 63.55

per share. Hans Olav Sørlie now holds 72 687 shares and 2 750 options in

Veidekke.

· Lars Erik Lund have exercised 250 options at a strike price of NOK 63.55 per

share. Lars Erik Lund now holds 15 907 shares and 750 options in Veidekke.

· Kristina Andreasson have exercised 250 options at a strike price of NOK

63.55 per share. Kristina Andreasson now holds 2 927 shares and 750 options in

Veidekke.

· Siv Hege Solheim have exercised 250 options at a strike price of NOK 63.55

per share. Siv Hege Solheim now holds 9 712 shares and 750 options in Veidekke.

Shares acquired through the program have a sales restriction on one year after

exercise date.
