Notice of Annual General Meeting

Amsterdam / Oslo 14 June 2021 - The Annual General Meeting of MPC Energy Solutions N.V. (the “Company”) will be held on Wednesday, 30 June 2021, at 10:00 a.m. CET as a digital meeting. The meeting documents have been deposited at the Company’s offices and have been published on the Company’s website www.mpc-energysolutions.com/investor-relations/agm.

Joining the meeting

The Annual General Meeting may be joined by all shareholders registered in The Norwegian Central Securities Depository (Verdipapirsentralen - the "VPS") as of 2 June 2021 (“Record Date”) by using the link included in the invitation and following the on-screen instructions.

Voting

Each ordinary share outstanding on the Record Date is entitled to one (1) vote. Voting rights may be exercised by filling in and submitting a Proxy Form prior to the AGM. The Proxy Form with voting instructions can be downloaded on www.mpc-energysolutions.com/ investor-relations/agm and must be submitted to DNB Bank ASA by Monday, 28 June 2021, 10:00 a.m. CET. The content of all resolutions requiring the vote from shareholders are outlined in the Proxy Form. The voting results will be presented during the AGM and will also be published online on www.mpc-energysolutions.com/investor-relations/agm after the AGM.

Questions from Shareholders

Registered shareholders may submit questions prior to the AGM and answers to all submitted questions will be posted on the website of MPC Energy Solutions. Questions may be submitted latest by Sunday, 27 June 2021, 10:00 a.m. CET by e-mail to AGM@mpc-energysolutions.com.
