PETRONOR E&P LIMITED – UPCOMING SCHEME MEETING

PetroNor E&P Limited (PetroNor or the Company) refers to the proposed acquisition by PetroNor E&P ASA (an existing subsidiary of PetroNor incorporated in Norway) (PetroNor ASA) by way of scheme of arrangement (Scheme) as announced previously on 7 October 2021. The purpose of the Scheme is to redomicile PetroNor and its subsidiaries from Australia to Norway.

The shareholder meeting to consider and approve the Scheme (Scheme Meeting) will be held at Level 4, 16 Milligan Street, Perth, Western Australia on 29 November 2021 at 4.00pm (AWST).

Further information about the Scheme Meeting is detailed in the Scheme Booklet lodged with ASIC on 27 October 2021 which is available for viewing and downloading from the Company's website (https://petronorep.com/) and on PetroNor's Oslo Euronext Expand platform.

The Company strongly encourages shareholders to lodge a directed proxy form prior to the meeting and register their attendance prior to the Meeting if they intend to attend. Questions should also be submitted in advance of the Meeting as this will provide management with the best opportunity to prepare for the meeting, for example by preparing answers in advance to shareholders questions. However, votes and questions may also be submitted during the Scheme Meeting.
