Proposing NOK 2.7 billion dividends and share buyback of up to MNOK 500
The Board of Directors of KONGSBERG will propose a dividend of NOK 15.30 per share for the financial year 2021, equivalent to about NOK 2.7 billion in total consideration. In addition, the Board will propose a share buyback programme of up to NOK 500 million.
The company regards NOK 3.30 per share as the ordinary dividend profile, whereas NOK 12.00 per share is an addition to this. The NOK 12 special dividend is based on an evaluation of the group’s financial position.
The proposals will be subject to approval by the annual general meeting of KONGSBERG on 11 May 2022 (“AGM”). A share buyback programme will be initiated later in 2022 if approved by the AGM. KONGSBERG will later seek approval from shareholders for cancellation of repurchased shares under the programme.
Combined these remunerations will return up to NOK 3.2 billion to shareholders, equivalent to around 7 per cent of the equity value as of 10. February 2021 (closing share price NOK 275). The exact amount will depend on the number of treasury shares held 11 May 2022.
Dividends will be paid to shareholders as of 11 May 2022 as appeared in the shareholders register as of 16 May 2022 (record date). Ex. dividend date will be 12 May 2022.
The ordinary dividend of NOK 3.30 per share will be regarded as repayment of previously paid-up premium and will be paid on or about 26 May 2022. The special dividend of NOK 12.00 per share will be considered as normal dividends and will be paid on or about 27 May 2022.
