BCS – Notice of extraordinary general meeting

(Bergen, 12 May 2022): Bergen Carbon Solutions AS (BCS, OSE:BCS)

Bergen Carbon Solutions is entering a new, important stage in the development of the company and in light of this the Board has evaluated its composition and future requirements. The Company has today issued a notice for an extraordinary general meeting 20 May 2022 at 13:00CET where the Board propose to elect Jon André Løkke as a new Chairman of the Company.

Dag Skansen, Chairman commented: “I have followed Bergen Carbon Solutions and its development closely since the beginning in 2016 and assisted the Company from the establishment phase to where it is today. It has been inspiring and of course very exciting to follow the very fast and positive development of the Company. Now the company is entering a very important and new phase of industrialization. Therefore, it is very gratifying that Jon André Løkke has accepted the position as new Chairman of the Board. I see that his experience and competence will strengthen the Company when I leave the helm to Jon André, and I can look back on having participated in the incredible development of Bergen Carbon Solutions AS. I will be happy to continue to contribute as a Board member to ensure that the Company's organization and the Board will continue to develop in line with the growth desired by the Company.”

Jon André Løkke commented: “Earlier this year I met Bergen Carbon Solutions and its founders and learned more about their unique technology and large-scale industrialization plans. I am thrilled to have the opportunity to support this very exciting Company on its journey to become a major global supplier of environmental-friendly carbon nanomaterials.”

At the same time, Atle Tvedt Pedersen and Bjørn Simonsen will step down from the Board.

Mr. Pedersen has served since April 2019 and been BIR AS representative in our Board. BIR AS has informed the Company that it continuously assesses its commitment and use of resources in various areas and has concluded that they will no longer be represented in the Board of Bergen Carbon Solutions AS. This change will not affect the collaboration with BIR AS and the project to use their fluegas to produce CNF.

Mr. Simonsen has represented Saga Pure since they became the largest shareholder in Bergen Carbon Solutions in December 2020.

The Board would like to thank Mr. Pedersen and Mr. Simonsen for their very valuable efforts for the company.
