- Notice on the disposal of HPB own shares under the Share Buyback Programme

Hrvatska poštanska banka, p.lc., Zagreb, Jurišićeva ulica 4 (hereinafter: the Bank) in accordance with the Article 474 of the Capital Market Act, hereby discloses that, as per December 12, 2024, it has disposed of 49 own shares designation HPB, which represent 0.002420 % of the Bank's shareholder equity.

Disposal of the mentioned own shares has been carried out in line with the Resolution by the General Assembly, made on August 30, 2023, granting the Management Board with authorization to purchase and to dispose of own shares, as well as in line with Share Buyback Programme commencing from November 8, 2023, with a duration of 2 (two) years.

Disposal that is the subject of this notice was carried out outside of regulated market based on concluded Agreements on share transfer. Transfer of shares from digital securities account opened in Central Depository & Clearing Company Inc., has been carried out on December 12, 2024.

Before the disposal mentioned above, the Bank had a total of 49 of own shares, representing 0.002420% of the Bank's shareholder equity. Following the disposal, Bank has no more own share in its account. Shareholder equity of the Bank amounts to EUR 161,970,000.00 and is divided into 2,024,625 common shares at face value of EUR 80.00 each.
