AVVIO PROGRAMMA DI ACQUISTO AZIONI PROPRIE

Milano, 12 dicembre 2024 - Fiera Milano S.p.A. ("Fiera Milano" e/o la "Società"), leader in Italia e uno dei principali operatori integrati del mondo nel settore fieristico e congressuale, comunica, in seguito all'autorizzazione ottenuta da parte dell'Assemblea degli Azionisti in data 23 aprile 2024 e alla deliberazione assunta dal Consiglio di Amministrazione in data 13 novembre 2024, l'avvio di un programma di acquisto di azioni proprie (il "Programma").

Di seguito si forniscono i dettagli del Programma ai sensi dell'art. 144-bis, comma 3, del Regolamento CONSOB adottato con Delibera n. 11971/1999 (il "Regolamento Emittenti") e dell'art. 2, comma 1, del Regolamento Delegato (UE) 2016/1052 (il "Regolamento Delegato MAR"). Il Programma sarà eseguito avvalendosi del safe harbour previsto ai sensi dell'art. 5 del Regolamento (UE) n. 596/2014 (la "MAR").

Finalità del Programma

Il programma è finalizzato ad incrementare il portafoglio di azioni proprie da destinare a servizio di piani di incentivazione azionaria, sia esistenti sia futuri, riservati ad amministratori e/o dipendenti della Società, con specifico riferimento al Piano di Azionariato Diffuso 2024-2027 ("PAD Futuro"), approvato dall'Assemblea degli Azionisti di Fiera Milano in data 5 novembre 2024.

Modalità operative e sede di negoziazione

Le operazioni di acquisto saranno effettuate sul mercato regolamentato Euronext Milan, organizzato e gestito da Borsa Italiana S.p.A. per il tramite dell'intermediario abilitato Equita SIM S.p.A. incaricato per l'attuazione del Programma che opererà in piena indipendenza secondo modalità operative idonee ad assicurare la parità di trattamento degli azionisti stabilite dalle disposizioni di legge e regolamentari vigenti e applicabili (ivi inclusi, senza limitazioni, l'art. 2357 del Codice Civile, l'art. 132 del Decreto Legislativo 24 febbraio 1998, n. 58 (il "TUF"), l'art. 144 bis, comma 1, lett. b) del Regolamento Emittenti e le disposizioni di cui al Regolamento dei Mercati organizzati e gestiti da Borsa Italiana S.p.A.).

Numero massimo delle azioni proprie ed esborso massimo

Il numero massimo di azioni proprie da acquistare attraverso l'esecuzione del Programma, in una o più volte, non sarà in ogni caso superiore a 270.000 azioni ordinarie Fiera Milano (le "Azioni Oggetto del Programma"). L'esborso massimo di acquisto per l'esecuzione del Programma è fissato in complessivi Euro 1,4 milioni.

Corrispettivo minimo e massimo e quantitativo di azioni acquistate

Gli acquisti di azioni proprie saranno effettuati a condizioni di prezzo conformi a quanto previsto dall'art. 3, comma 2, del Regolamento Delegato MAR e, pertanto, a un corrispettivo non superiore al prezzo più elevato tra (i) il prezzo dell'ultima operazione indipendente e (ii) il prezzo dell'offerta di acquisto indipendente corrente più elevata nella sede di negoziazione dove viene effettuato l'acquisto.

In aggiunta a quanto precede, gli acquisti non potranno essere effettuati a un prezzo per azione ordinaria Fiera Milano che si discosti, in diminuzione e in aumento, per più del 10% dal prezzo di riferimento fatto registrare dal titolo nella sede di negoziazione dove viene effettuato l'acquisto nella seduta di borsa precedente ogni singola operazione.

Conformemente a quanto previsto dall'art. 3, comma 3, del Regolamento Delegato MAR, il quantitativo di azioni acquistate in ciascun giorno di negoziazione non sarà superiore al 25% del volume medio giornaliero di azioni ordinarie Fiera Milano negoziate nella sede di negoziazione dove viene effettuato l'acquisto, calcolato sulla base del volume medio giornaliero degli scambi nei 20 (venti) giorni di negoziazione precedenti la data dell'acquisto.

Durata del Programma

Il Consiglio di Amministrazione del 13 novembre 2024 ha stabilito – in attuazione dell'autorizzazione all'acquisto e disposizione di azioni proprie conferita dall'Assemblea degli Azionisti del 23 aprile 2024 – che il Programma durerà sino all'avvenuto acquisto della totalità delle Azioni oggetto del Programma e, in ogni caso, non oltre il periodo di 18 mesi dall'approvazione dell'Assemblea degli Azionisti in data 23 aprile 2024. L'acquisto di azioni potrà comunque essere attuato parzialmente, interrotto e/o revocato in qualsiasi momento, salvo le dovute tempestive comunicazioni al mercato nei modi e termini previsti dalla normativa applicabile.

Si precisa che il programma di acquisto di azioni proprie, attesa la finalità di cui supra, non è preordinato ad alcuna operazione di riduzione del capitale.

In conformità all'art. 5, commi 1 (b) e 3 della MAR e all'art. 2 del Regolamento Delegato MAR, la Società comunicherà in forma aggregata e in forma dettagliata le operazioni effettuate nell'ambito del Programma a CONSOB e al mercato, anche mediante pubblicazione sul proprio sito internet, secondo la tempistica prevista dalla normativa applicabile.

Alla data del presente comunicato, la Società detiene n. 776.010 azioni proprie corrispondenti allo 1,1% del capitale sociale

LAUNCH OF SHARE BUYBACK PROGRAMME

Milan, 12 December 2024 - Fiera Milano S.p.A. ("Fiera Milano" and/or the "Company"), leader in Italy and one of the main integrated operators in the world in the exhibition and congress industry, announces, pursuant to the authorization obtained by the Shareholders' Meeting held on 23 April 2024 and to the resolution approved by the Board of Directors on 13 November 2024, the launch of a share buyback programme (the "Programme").

Beginning of share buyback programme

Further details on the Programme are provided below in compliance with art. 144-bis, paragraph 3, of Consob Regulation 11971/1999 (the "Issuers Regulation") and in compliance with art. 2, paragraph 1, of the Delegated Regulation (EU) no. 2016/1052 (the "MAR Delegated Regulation"). The Programme will be implemented within the safe harbour system provided under Regulation (EU) 596/2014 (the "MAR").

Objective of the Programme

The program is aimed at increasing treasury shares portfolio to service stock-based incentive plans, existing and future, reserved for executives and/or employees of the Company, with specific reference to the 2024-2027 Share Plan ("PAD Futuro"), approved by the Fiera Milano Shareholders' Meeting on 5 November 2024.

Operating procedures and trading venues

Purchase transactions will be made on the regulated market Euronext Milan, organized and managed by Borsa Italiana S.p.A., through the authorized intermediary Equita SIM S.p.A. in charge of the implementation of the Programme, which will act completely independently in accordance to operational procedures to ensure the equal treatment of shareholders as established by law or regulations in force and applicable from time to time (including, without limitation, art. 2357 of the Italian Civil Code, art. 132 of the Legislative Decree 58/1998 (the "TUF"), art. 144 bis, paragraph I, lett. b) of the Issuers' Regulation, and the provisions of the Regulations for Markets organized and managed by Borsa Italiana S.p.A.).

Maximum number of treasury shares and maximum outflow

The maximum number of treasury shares that can be purchased through the execution of the Programme, on one or more occasions, in any case shall not exceed 270,000 Fiera Milano ordinary shares (the "Programme Shares"). The maximum purchase outlay for the execution of the Programme is set at a total of Euro 1.4 million.

Minimum and maximum purchase price and number of purchased shares

Purchases of treasury shares will be made at price conditions in accordance with the provisions of art. 3, paragraph 2, of the MAR Delegated Regulation and, therefore, to a consideration not exceeding the highest price between (i) the price of the last independent transaction and (ii) the price of the highest current independent purchase offer at the headquarters of negotiation where the purchase is made.

In addition to the foregoing, the purchases may not be made at a price per Fiera Milano ordinary share which deviates, decreasing and increasing, by more than 10% from the reference price recorded by the share in the trading venue where the purchase in the trading session preceding each single transaction.

In accordance with the provisions of art. 3, paragraph 3, of the MAR Delegated Regulation, the quantity of shares purchased on each trading day will not exceed 25% of the average daily volume of Fiera Milano ordinary shares traded on the trading venue where the purchase is made, calculated on the basis of the average daily trading volume in the 20 (twenty) trading days preceding the purchase date.

Duration of the Programme

The Board of Directors of 13 November 2024 established - in implementation of the authorization for the purchase and disposal of treasury shares granted by the Shareholders' Meeting of 23 April 2024 - that the Programme will last until the purchase of all the Programme Shares and, in any case, no later than the period of 18 months from the approval of the Shareholders' Meeting on 23 April 2024. Purchases of treasury shares can be performed even only partially and its implementation may be revoked/interrupted at any time, except for the due timely communications to the market in the ways and terms provided for by the applicable legislation.

It should be noted that the programme for the purchase of treasury shares, given the aforementioned purpose, is not preordained for any capital reduction operation.

In accordance with art. 5, paragraphs 1 (b) and 3 of the MAR and art. 2 of the MAR Delegated Regulation, the Company will communicate the transactions carried out under the Programme to CONSOB and the market in an aggregate and detailed form, also by publication on its website, according to the timing provided for by the applicable legislation.

As of the date of this press release, the Company holds no. 776,010 treasury shares equal to 1.1% of the share capital.
