# **Creactives Group S.p.A. annuncia di aver concluso con successo il collocamento di 630.000 azioni ordinarie per un controvalore complessivo di Euro 1.575.000 attraverso un**  *Accelerated Bookbuilding* **rivolto ad investitori qualificati/istituzionali**

### **Il flottante aumenta dal 21,61% al 25,38% del capitale sociale**

*Verona, 11 dicembre 2024*. **Creactives Group S.p.A.** ("**Creactives Group**" o "**Società**") (ISIN **IT0005408593** - ticker: **CREG**), società internazionale e PMI Innovativa, quotata su Euronext Growth Milan – Segmento Professionale ("**Euronext Growth Milan Pro**"), che sviluppa tecnologie di intelligenza artificiale nel campo della Supply Chain, facendo seguito al comunicato stampa diffuso nella giornata di ieri relativo alla delibera del Consiglio di Amministrazione dell'aumento di capitale sociale ("**Aumento di Capitale**"), con esclusione del diritto di opzione per massimi Euro 5.000.000,00 (comprensivi di sovrapprezzo) mediante emissione di massime 2.000.000 nuove azioni ordinarie della Società ("**Nuove Azioni**") con termine finale di sottoscrizione al 30 giugno 2025 e al contestuale avvio di una procedura di *Accelerated Bookbuilding* ("**ABB**") riservata ad investitori qualificati e istituzionali, comunica che in data odierna si è conclusa con successo, in via anticipata, la sottoscrizione di n. 630.000 Nuove Azioni da parte di n. 1 investitore istituzionale.

Le complessive n. 630.000 Nuove Azioni ordinarie, pari al 4,81% del nuovo capitale sociale della Società, sono state collocate ad un prezzo pari a Euro 2,50 (di cui Euro 0,02 a capitale sociale ed Euro 2,48 a sovrapprezzo) per ciascuna Nuova Azione, per un controvalore complessivo pari a Euro 1.575.000,00 (incluso sovrapprezzo).

Le Nuove Azioni avranno le medesime caratteristiche di quelle già in circolazione alla data di emissione e godimento regolare e saranno ammesse alla negoziazione su Euronext Growth Milan Pro, al pari delle azioni già in circolazione e nel rispetto delle applicabili disposizioni di legge e regolamentari.

Il regolamento delle operazioni di sottoscrizione avverrà mediante consegna e pagamento delle Nuove Azioni in data 16 dicembre 2024.

Alla luce della suddetta operazione, il capitale sociale della Società è incrementato ad Euro 287.556 e risulta suddiviso in n. 13.102.000 azioni ordinarie prive dell'indicazione del valore nominale, con un flottante pari al 25,38%.

La Società procederà con i depositi e le comunicazioni previste ai sensi di legge.

Tenuto conto del carattere scindibile dell'Aumento di Capitale la Società si riserva di aprire ulteriori periodi di collocamento delle Nuove Azioni non sottoscritte entro il termine finale del 30 giugno 2025.

Nell'ambito dell'operazione EnVent Italia SIM S.p.A. ha agito in qualità di Global Coordinator dell'operazione, mentre la Società è assistita da ADVANT Nctm in qualità di consulente legale e da CDI Global Italy quale Advisor Finanziario.

## **Creactives Group S.p.A. announces the successful placement of 630.000 ordinary shares for a total value of Euro 1.575.000 through an Accelerated Bookbuilding aimed at qualified/institutional investors**

### **The free float increases from 21,61% to 25,38% of the share capital**

*Verona, December 11, 2024*. **Creactives Group S.p.A.** ("**Creactives Group**" or the "**Company**") (ISIN **IT0005408593** ticker: **CREG**), an international company and Innovative SME, listed on Euronext Growth Milan – Professional Segment ("**Euronext Growth Milan Pro**"), that develops Artificial Intelligence technologies to address real-life business problems in the Supply Chain, following the press release issued yesterday regarding the resolution of the Board of Directors of the share capital increase ("**Capital Increase**"), with the exclusion of the option right for a maximum of Euro 5.000.000,00 (including share premium) through the issuance of a maximum of 2.000.000 new ordinary shares of the Company ("**New Shares**") with a final subscription deadline of June 30, 2025 and the simultaneous launch of an Accelerated Bookbuilding ("**ABB**") procedure reserved for qualified and institutional investors, hereby announces that today the subscription of no. 630.000 New Shares by no. 1 institutional investor was successfully concluded in advance.

A total of 630.000 New Ordinary Shares, representing 4,81% of the Company's new share capital, were placed at a price of Euro 2,50 (of which Euro 0,02 was share capital and Euro 2,48 was share premium) per New Share, for a total value of Euro 1.575.000,00 (including share premium).

The New Shares will have the same characteristics as those already outstanding on the issue date and regular dividend entitlement and will be admitted to trading on Euronext Growth Milan Pro, in the same way as the shares already outstanding and in compliance with applicable legal and regulatory provisions.

Settlement of the subscription transactions will take place through delivery and payment of the New Shares on December 16, 2024.

In consideration of the above transaction, the Company's share capital is increased to Euro 287.556 and is divided into 13.102.000 ordinary shares with no par value indicated, with a free float of 25,38%.

The Company will proceed with the deposits and communications required by law.

Given the divisible nature of the Capital Increase, the Company reserves the right to open additional placement periods for the New Shares not subscribed by the final deadline of June 30, 2025.

In the transaction, EnVent Italia SIM S.p.A. acted as Global Coordinator of the transaction, while the Company is assisted by ADVANT Nctm as legal advisor and CDI Global Italy as Financial Advisor.
