Milan, 10 December 2024. DHH S.p.A. (DHH.MI) (ISIN shares IT0005203622), following the communication of December 9, 2024, announces that today was deposited with the Companies' Register of Milan Monza-Brianza Lodi, pursuant to Article 2444 of the Italian Civil Code, the certificate regarding the partial execution of the paid capital increase resolved by the Board of Directors on May 23, 2022 in exercise of the authority granted pursuant to Article 2443 of the Italian Civil Code by the Company's Shareholders' Meeting on April 28, 2021 (as amended on April 28, 2022), to service the "Piano Stock Option DHH 2022 – 2025" (respectively, "Reserved Capital Increase" and "Plan"). More specifically, it should be noted that following the exercise by no. 3 beneficiaries of the Plan of a total of no. 750.000 options vested pursuant to the Plan regulations, in compliance with the terms and conditions set forth therein, 345.000 new ordinary shares with no indication of par value, having the same characteristics as those already in circulation ("Shares"), were subscribed for at a subscription price of 1,79 euros per share (of which 0,10 euros was capital and the remainder as a share premium), issued as part of the Reserved Capital Increase. As a result of the completion of the issuance and subscription process of the Shares, the share capital of DHH is 523.777.20 euros, represented by 5.237.772 ordinary shares with no par value.

More specifically, it should be noted that following the exercise by no. 3 beneficiaries of the Plan of a total of no. 750.000 options vested pursuant to the Plan regulations, in compliance with the terms and conditions set forth therein, 345.000 new ordinary shares with no indication of par value, having the same characteristics as those already in circulation ("Shares"), were subscribed for at a subscription price of 1,79 euros per share (of which 0,10 euros was capital and the remainder as a share premium), issued as part of the Reserved Capital Increase.

As a result of the completion of the issuance and subscription process of the Shares, the share capital of DHH is 523.777.20 euros, represented by 5.237.772 ordinary shares with no par value.

As a result of the above, the new composition of the share capital is as follows:

The new text of the bylaws of DHH S.p.A., deposited today with the Milan Monza-Brianza Lodi Companies Register in order to incorporate the new composition of the Company's share capital, will be made available on the Company's website www.dhh.international, "For Investors" section, as well as on the website of Borsa Italiana S.p.A.
