# **Creactives Group S.p.A. delibera un aumento di capitale fino a massimi Euro 5 milioni riservato a investitori qualificati/istituzionali da offrire in sottoscrizione tramite procedura di** *Accelerated Bookbuilding*

## **Prezzo di emissione delle nuove azioni ordinarie Creactives Group S.p.A. pari a Euro 2,50 per azione**

*Verona, 10 dicembre 2024*. **Creactives Group S.p.A.** ("**Creactives Group**" o "**Società**") (ISIN **IT0005408593** - ticker: **CREG**), società internazionale e PMI Innovativa, quotata su Euronext Growth Milan – Segmento Professionale ("**Euronext Growth Milan Pro**"), che sviluppa tecnologie di intelligenza artificiale nel campo della Supply Chain, comunica che, in data odierna, si è riunito, in seduta notarile, il Consiglio di Amministrazione che ha deliberato di dare parziale esecuzione alla delega conferita ai sensi dell'art. 2443 del codice civile per massimi Euro 20.000.000,00, comprensivi di sovrapprezzo, dall'Assemblea straordinaria della Società in data 28 ottobre 2020, parzialmente modificata dall'Assemblea dei soci del 24 novembre 2022, e, per l'effetto, di aumentare a pagamento e in via scindibile, il capitale sociale della Società per un importo di massimi Euro 5.000.000,00, comprensivi di sovrapprezzo, con esclusione del diritto di opzione ai sensi dell'art. 2441, comma 5, cod. civ., mediante emissione di massime n. 2.000.000 nuove azioni ordinarie della Società ("**Nuove Azioni**"), prive dell'indicazione del valore nominale e aventi le medesime caratteristiche di quelle già in circolazione alla data di emissione con godimento regolare ("**Aumento di Capitale**"), con termine finale di sottoscrizione al 30 giugno 2025.

L'Aumento di Capitale viene proposto in sottoscrizione a un **prezzo pari a Euro 2,50 per ciascuna Nuova Azione**, di cui Euro 0,02 da imputare a capitale sociale ed Euro 2,48 da imputare a sovrapprezzo. Tale prezzo è stato determinato utilizzando come criterio di riferimento la media ponderata dei prezzi ufficiali degli ultimi 6 mesi precedenti la data del 9 dicembre 2024, pari a circa Euro 2,57, ed applicando quindi a tale media uno sconto pari al 3% circa. Si precisa che il Collegio Sindacale ha rilasciato parere positivo nel rispetto di quanto previsto dall'art. 2441, comma 6, cod. civ..

L'Aumento di Capitale ha l'obiettivo di reperire in modo rapido ed efficiente nuove risorse per rafforzare la struttura patrimoniale della Società e sostenere i suoi progetti di crescita e di sviluppo, consentendo a primari investitori di entrare nel capitale sociale della Società.

In ragione della delibera di Aumento di Capitale, la Società comunica quindi l'avvio di una procedura di *Accelerated Bookbuilding* ("**ABB**") che ha ad oggetto le massime 2.000.000 Nuove Azioni a un prezzo pari a Euro 2,50 per ciascuna Nuova Azione da riservare esclusivamente in sottoscrizione ad investitori qualificati e istituzionali così come definiti ai sensi dell'art. 2, lettera e) del Regolamento (UE) 2017/1129 del Parlamento Europeo e del Consiglio del 14 giugno 2017.

L'ABB avrà inizio immediatamente e si concluderà in data 12 dicembre 2024, salvo chiusura anticipata che sarà comunicata dalla Società. La Società darà tempestiva comunicazione del suo esito. Tenuto conto del carattere scindibile dell'Aumento di Capitale la Società si riserva di aprire ulteriori periodi di collocamento qualora all'esito dell'ABB residuino Nuove Azioni non sottoscritte.

Le Nuove Azioni saranno ammesse alla negoziazione su Euronext Growth Milan Pro, al pari delle azioni già in circolazione e nel rispetto delle applicabili disposizioni di legge e regolamentari.

# **Creactives Group S.p.A. resolves a capital increase of up to a maximum of Euro 5 million reserved for qualified/institutional investors to be offered for subscription through the Accelerated Bookbuilding procedure**

## **Issue price of the new Creactives Group S.p.A. ordinary shares equal to Euro 2,50 per share**

*Verona, December 10, 2024*. **Creactives Group S.p.A.** ("**Creactives Group**" or the "**Company**") (ISIN **IT0005408593** - ticker: **CREG**), an international company and Innovative SME, listed on Euronext Growth Milan – Professional Segment ("**Euronext Growth Milan Pro**"), that develops Artificial Intelligence technologies to address real-life business problems in the Supply Chain, announces that, today, the Board of Directors met in notarial session and resolved to partially execute the proxy granted pursuant to Article 2443 of the Civil Code for a maximum amount of Euro 20.000.000,00, inclusive of share premium, by the Extraordinary Shareholders' Meeting of the Company held on October 28, 2020, partially amended by the Shareholders' Meeting held on November 24, 2022, and, accordingly, to increase the share capital of the Company for cash and in divisible form, by a maximum amount of Euro 5.000.000,00, inclusive of share premium, with the exclusion of option rights pursuant to Article 2441, paragraph 5, of the Civil Code, through the issuance of a maximum of 2.000.000 new ordinary shares of the Company ("**New Shares**"), with no indication of par value and with the same characteristics as those already in circulation as of the issue date with regular dividend rights ("**Capital Increase**"), with a final subscription deadline of June 30, 2025.

The Capital Increase is proposed for subscription at a **price of Euro 2,50 per New Share**, of which Euro 0,02 is to be charged to share capital and Euro 2,48 is to be charged to share premium. This price was determined using as a reference criterion the weighted average of official prices for the last 6 months preceding the date of December 9, 2024, which is approximately Euro 2,57, and then applying to this average a discount of approximately 3%. It should be noted that the Board of Statutory Auditors issued a positive opinion in compliance with the provisions of Article 2441, paragraph 6, of the Italian Civil Code.

The purpose of the Capital Increase is to quickly and efficiently raise new resources to strengthen the Company's capital structure and support its growth and development projects, enabling leading investors to enter the Company's share capital.

As a result of the Capital Increase resolution, the Company therefore announces the launch of an Accelerated Bookbuilding ("**ABB**") procedure concerning the maximum 2.000.000 New Shares at a price of Euro 2,50 per New Share to be reserved exclusively for subscription to qualified and institutional investors as defined pursuant to Article 2(e) of Regulation (EU) 2017/1129 of the European Parliament and of the Council of June 14, 2017.

The ABB will commence immediately and will end on December 12, 2024, unless earlier closure is announced by the Company. The Company will give timely notice of its outcome. In view of the divisible nature of the Capital Increase, the Company reserves the right to open additional placement periods if any unsubscribed New Shares remain at the outcome of the ABB.

The New Shares will be admitted to trading on Euronext Growth Milan Pro in the same manner as the shares already outstanding and in accordance with applicable legal and regulatory provisions.
