Completion of transaction and Share Capital Increase

Reference is made to Havyard Group ASA's (the "Company") stock exchange notice dated 20 May 2022 regarding an agreement for the acquisition of the shares in HG Group AS.

All closing conditions in regards to the transaction have been satisfied, and the transaction has now been completed by the Company taking over the shares in HG Group AS.

The share capital increase in connection with the issuance of settlement shares to the sellers of HG Group AS was registered today. 47,206,166 new shares have been issued, and the new share capital is now NOK 3,599,365.80 consisting of 71,987,316 shares, each with a par value of NOK 0.05.

The new shares are delivered on a separately unlisted ISIN and will not be admitted to trading until the Company has listed an Exempted Document.
