MAGNORA ASA: SHARE CAPITAL INCREASE REGISTERED

Reference is made to the stock exchange announcement made by Magnora ASA on 22

September 2022 regarding the successful completion of a private placement (the

"Private Placement") of 8,950,000 new shares in the Company (the "New Shares"),

raising gross proceeds of approximately NOK 200 million.

The share capital increase pertaining to the issuance of New Shares in the

Private Placement has now been registered with the Norwegian Register of

Business Enterprises. The Company's new share capital is NOK 32,743,113.33

divided on 66,822,679 shares, each with a par value of NOK 0.49. The New Shares

are expected to be delivered to investors in the Private Placement on or about

27 September 2022 on a delivery versus payment basis, and tradeable on the same

date.
