KMC PROPERTIES – SHARE CAPITAL INCREASE RELATED TO ISSUING OF UNDERWRITING COMMISSION SHARES
Reference is made to KMC Properties ASA's ("KMC Properties" or the "Company") announcement on 3 November 2022 regarding the completion of a private placement of 37,500,000 new shares at a price per new share of NOK 8.00 (the "Offer Price"), raising gross proceeds of NOK 300 million (the "Private Placement").
As described in the announcement of 3 November 2022 the underwriters and the pre-committed shareholders in the Private Placement are entitled to receive a 4 per cent underwriting commission based on the sum of their commitment (i.e. a total of NOK 350 million), and the Company's obligation to pay the underwriting commission is to be settled by issuance of 1,750,000 new shares at the Offer Price.
To settle the underwriting commission the board of directors of the Company has today resolved to increase the Company's share capital by NOK 350,000 by issuance of 1,750,000 new shares (the "Underwriting Commission Shares") pursuant to an authorisation granted by the Company's ordinary general meeting on 1 June 2022. The Underwriting Commission Shares are issued at a subscription price of NOK 8.00.
Following registration of the share capital increase with the Norwegian Register of Business Enterprises, the Company will have a share capital of NOK 64,778,729.80 divided into 323,893,649 shares, each with a par value of NOK 0.20.
The following close associates of primary insiders in the Company were allocated Underwriting Commission Shares:
Aglen Holding AS, close associate of chairman of the board of directors and primary insider Pål Magnus Aglen, was allocated 32,499 Underwriting Commission Shares;
Banan II AS, a close associate of board member and primary insider Nini Nergaard, was allocated 15,999 Underwriting Commission Shares;
BEWI Invest AS, the largest shareholder and close associate of board member and primary insider Stig Wærnes, was allocated 896,505 Underwriting Commission Shares; and
Kastor Invest AS, a close associate of board member and primary insider John Thoresen, was allocated 99,999 Underwriting Commission Shares.
