NOD – Closing of acquisition of Mobile Semiconductor

Reference is made to the stock exchange notice by Nordic Semiconductor ASA on July 8, 2022 where it was communicated that Nordic Semiconductor ASA would acquire Mobile Semiconductor Inc. for an undisclosed sum. Completion of the acquisition was dependent on among other US Governmental approval. The necessary approvals have now been obtained and on March 9, 2023 the acquisition has been closed.

Part of the consideration is delivered in Nordic Semiconductor ASA shares. A total of 312,843 shares at a value per share of NOK 153.51 will be delivered to shareholders of Mobile Semiconductor Inc., constituting a total consideration of NOK 48,024,529 (USD 4,500,000) in Nordic Semiconductor ASA shares. 218,348 shares have been transferred at closing whilst the remaining 94,495 shares will be held back for up to three years and are dependent on satisfaction of certain conditions.

In total 312,843 treasury shares will be used and the balance of treasury shares post the transaction is 893,670.
