WRITTEN NOTICE OF EXERCISE OF CALL OPTION

ISIN NO0010872864 - MUTARES SE & CO. KGAA FRN SENIOR SECURED EUR 80,000,000 BONDS 2020/2024

We refer to the bond terms dated 12 February 2020 entered into between Nordic Trustee AS as bond We for the bond to the bondholders and Mutares SE & Co. KGaA as issuer (as amended from time to time, the "Bond Terms").

Capitalised terms used herein shall have the same meaning as in the Bond Terms.

We hereby give you notice that we wish to exercise the Call Option pursuant to Clause 10.2(a)(ii) We heroby give you house that of the Bond Terms to redeem all the Outstanding Bonds at ( vidinary ourly routh of the Nominal Amount for the redeemed Bonds plus accrued and a prioc equal to 100.00 per centrely be redeemed on 11 April 2023 which will be the Call Option Repayment Date.

The exercise of the Call Option is conditional upon settlement and disbursement under the bond terms dated on or about the date hereof for the new bond issue, Mutares SE & Co. KGaA FRN senior secured EUR 250,000,000 bonds 2023/2027 with ISIN NO0012530965, having occurred on or before 31 March 2023.

This Call Option Notice is sent to you as Bond Trustee on behalf of the Bondholders.
