Stavanger, Norway, 30 March 2023

Reference is made to the stock exchange release by Huddlestock Fintech AS ("

Huddlestock") published on 23 February 2023 announcing the acquisition of the

company Dtech AS. The agreement has been executed on 30 March 2023.

Upon executing the agreement, the board of directors in Huddlestock has resolved

to issue 828 706 new shares in Huddlestock to the sellers of Dtech AS by way of

a private placement using the shares of Dtech AS as contribution in kind. The

private placement has been carried out using a subscription price of NOK 2,4134

per share.
