NOD: Reporting of transactions made by persons discharging managerial responsibilities in Nordic Semiconductor ASA's shares

Reference made to the 2023 Annual General Meeting (AGM) approving that part of the Directors’ remuneration for 2023 should be paid in shares in the Company. As approved by the AGM, the share-based part of the compensation for 2023 is paid after the AGM in 2023, and the number of shares is based on the amount due in NOK (NOK 160,625 for ordinary board members and NOK 462,750 to the chair) adjusted for tax, divided by the share price at closing on the day of the AGM 2023.

Based on the closing price on April 20th, 2023 of NOK 121.40, a total of 5,871 shares have been transferred to the Board Members.

Please see attached notifications for persons discharging managerial responsibilities in Nordic Semiconductor ASA in accordance with Regulation EU 596/2014 (MAR) article 19. The underlying shares have been provided by transfer of the Company’s holding of treasury shares.

Subsequent to the transaction Nordic Semiconductor holds a total of 887,799 treasury shares.

Birger Steen, Chair of the Board, was allocated 1,905 shares. Following the allocation, Birger owns a total of 198,745 shares in Nordic Semiconductor ASA.

Inger Berg Ørstavik, Board Member, was allocated 661 shares. Following the allocation, Inger owns a total of 5,919 shares in Nordic Semiconductor ASA.

Jan Frykhammar, Board Member, was allocated 661 shares. Following the allocation, Jan owns a total of 24,919 shares in Nordic Semiconductor ASA.

Anita Huun, Board Member, was allocated 661 shares. Following the allocation, Anita owns a total of 13,919 shares in Nordic Semiconductor ASA.

Annastiina Hintsa, Board Member, was allocated 661 shares. Following the allocation, Annastiina owns a total of 4,919 shares in Nordic Semiconductor ASA.

Snorre Kjesbu, Board Member, was allocated 661 shares. Following the allocation, Snorre owns a total of 661 shares in Nordic Semiconductor ASA.

Niels Anderskouv, Board Member, was allocated 661 shares. Following the allocation, Niels owns a total of 661 shares in Nordic Semiconductor ASA.
