Argeo: Key Information related to the Subsequent Offering

Asker, 29 June 2023: Reference is made to the stock exchange notice published by Argeo AS (the "Company" or "Argeo") (Euronext Growth: ARGEO) on 29 June 2023 announcing the completion of a private placement of 15,576,168 new shares in the Company at a price per share of NOK 2.75 (the "Private Placement"), raising gross proceeds of approximately NOK 43 million.
The board of directors has today resolved to conduct a subsequent offering (the "Subsequent Offering") with gross proceeds of up to NOK 15 million by issuing up to 5,454,545 new shares at NOK 2.75 per share (the "Offer Price"), equal to the subscription price in the Private Placement.

• Subscription price: NOK 2.75 per share (equal to the Offer Price)
Other important information concerning the Subsequent Offering:
The Subsequent Offering is proposed directed towards shareholders of the Company as of 29 June 2023 (as registered with the VPS on 3 July 2023) who (i) were not included in the wall-crossing phase of the Private Placement, (ii) were not allocated shares in the Private Placement, and (iii) who are not resident in a jurisdiction where such offering would be unlawful or (for jurisdictions other than Norway) would require any prospectus, filing, registration or similar action). Such shareholders will be granted non-transferable subscription rights that provide rights to subscribe for and be allocated shares in the Subsequent Offering.
The Subsequent Offering is subject to, inter alia, (i) completion of the Private Placement, (ii) relevant corporate resolutions including approval by the Company's board of directors and (iii) publication of an offering prospectus, which will be issued as soon as practical following completion of the Private Placement. The subscription period for the Subsequent Offering will commence as soon as possible following the publication of such prospectus. The Company reserves the right, in its sole discretion, to cancel the Subsequent Offering, including as a result of the Company's shares trading around or under the Offer Price at meaningful volumes.
