KMC Properties - Disclosure of large shareholding

Reference is made to the stock exchange notice published on 29 September 2023 by KMC Properties ASA ("KMC Properties") regarding, inter alia, the completion of a private placement of 50,000,000 new shares in KMC Properties (the "Private Placement"), fully directed at Nordika Blue AB ("Nordika").

As a result of Private Placement, Nordika has today subscribed and been allocated 50,000,000 shares, corresponding to approximately 12.68% of the total number of shares and voting rights in KMC Properties, and thereby exceeded the 10% disclosure threshold. Nordika did not hold any shares in KMC Properties prior to the Private Placement.

In addition, Nordika has been granted 22,608,696 callable share options in KMC Properties. The share options are transferable and may be exercised, without conditions, any time from delivery of the shares in the Private Placement to Nordika and until the date falling four months thereafter. On a combined basis, Nordika's total holding of shares and share options (rights to subscribe shares), is corresponding to 72,608,696 shares and share options, representing, if the options are fully exercised, approximately 17.42% of the total number of shares and voting rights in KMC Properties.

Nordika Förvaltning AB is the disclosing party on an aggregated level and the controlling entity of Nordika. The shares and the right to acquire shares though the call option are effectively held by Flugfiskaren AB, a wholly-owned subsidiary of Nordika.
