Gigante Salmon AS: Notice of extraordinary general meeting in connection with the Private Placement and Subsequent Offering

Reference is made to the stock exchange notice from Gigante Salmon AS (the “Company”) on 11 October 2023 regarding the successful completion of a private placement of 27,777,777 new shares in the Company at a subscription price of NOK 7.2 per share (the “Offer Price”) raising gross proceeds of approx. NOK 200 million (the “Private Placement”) and a potential subsequent offering of new shares at a price equal to the Offer Price (the “Subsequent Offering”).

The Company hereby calls for an extraordinary general meeting to be held on 31 October 2023 at 11:00 (CET) at the Company's premises to resolve:

(i) Capital increase to issue the shares in the Private Placement;

(ii) Authorisation to carry out the Subsequent Offering; and

(iii) Authorisation to issue shares.
