Prosafe SE – Major shareholding disclosures

Reference is made to the extraordinary general meeting (“EGM”) in Prosafe SE (the “Company”) on 16 November 2023, whereby the EGM approved the issue of 5,833,333 new shares in the Company.

Following the registration of the share capital increase in the Norwegian Register of Business Enterprises (the “NRBE”), North Sea Strategic Investments AS’ shareholding of 1,355,363 shares will constitute approximately 7.8% of the total shares and votes in the Company, crossing below the 10% threshold as a result of dilution.

Following the registration of the share capital increase in the NRBE, the total shareholding of 2,471,928 shares held by entities managed by HitecVision Advisory AS, will constitute approximately 14.2% of the total shares and votes in the Company, crossing below the 20% and 15% thresholds as a result of dilution. The entities managed by HitecVision Advisory AS are North Sea Strategic Investments AS, an entity wholly owned by HitecVision VII L.P., and HV VI Invest Sierra AS, an entity wholly owned by HitecVision VI L.P.

The above is based on the total number of shares in the Company being 17,352,032 shares after registration of the above-mentioned share capital increase.
