GC Rieber Shipping: Result of voluntary offer to acquire all shares in GC Rieber Shipping ASA

GC Rieber AS ("GC Rieber") refers to the stock exchange notice released 13

November 2023 where it was announced that GC Rieber made a voluntary offer to

acquire all the shares in GC Rieber Shipping ASA (the "Company") not owned by GC

Rieber prior to the voluntary offer.

The offer period expired on 27 November 2023 and GC Rieber received acceptances

under the voluntary offer for a total of 18,195,729 shares in the Company,

representing approximately 21% of the outstanding shares and votes in the

Company.  GC Rieber will, following completion, own approximately 97.97% of the

shares in the Company.

Payment of the offer price of NOK 8.80 per share pursuant to the voluntary offer

is being made as soon as possible to the shareholders of the Company who

accepted the voluntary offer, and such payment will be available in the relevant

shareholders' registered VPS account.

On completion, GC Rieber will initiate a process to compulsorily acquire the

remaining shares in the Company and will, as set out in the offer document dated

13 November 2023, request that the shares in the Company be delisted from Oslo

Stock Exchange.
