Hunter Group ASA - Share capital increase registered

Hunter Group ASA (the "Company") refers to the private placement of 14,333,333
new shares (the "New Shares"), at a subscription price of NOK 1.50, raising
gross proceeds of NOK 21.5 million (the "Private Placement").
The share capital increase pertaining to the issuance of the New Shares has
today been registered with the Norwegian Register of Business Enterprises (Nw.
Foretaksregisteret). The Company's new share capital is NOK 1,648,061 (rounded),
divided into 43,101,434 shares, each with a nominal value of NOK 0.038
(rounded).
5,500,000 New Shares will be recorded on the listed ISIN, pursuant to applicable
exemptions from relevant prospectus and registration requirements pursuant to
applicable regulations, including Regulation (EU) 2017/1129 (the EU prospectus
regulation) and ancillary regulations. The remaining New Shares will be recorded
on a separate, temporary ISIN pending approval of a prospectus by the Financial
Supervisory Authority of Norway and will not be listed or tradable on Oslo Børs
until the prospectus has been published.
Sagittarius Capital Ltd., Lama Global AS, and Seal Invest AS have, as previously
announced, for settlement purposes in the Private Placement, entered into a
share lending agreement with DNB Markets, a part of DNB Bank ASA, to lend all
their existing shares in the company that are already listed on Euronext Expand
Oslo. The share loan will today be settled to the lenders with a corresponding
number of New Shares, recorded on a separate, temporary ISIN pending approval of
the prospectus. PDMR forms attached hereto. Sagittarius Capital Ltd. will own a
total 2,041,666 shares in the Company, representing 4.74% of the shares and
votes, Lama Global AS will own a total 1,754,167 shares in the Company,
representing 4.07% of the shares and votes, Seal Invest AS will own a total
1,766,666 shares in the Company, representing 4.10% of the shares and votes, and
each of them will thereby, as a result of the Private Placement, passively cross
the 5% threshold pursuant to the Norwegian Securities Trading Act section 4-2.
