KMC Properties ASA – Approval and publication of prospectus

Reference is made to the stock exchange announcement published by KMC Properties ASA (the "Company") on 29 September 2023 regarding the Company's acquisition of seven properties from BEWI ASA for approximately NOK 625 million, which was partially financed by new equity in the amount of NOK 275 million raised by the issuance of 50,000,000 new shares in the Company (the "New Shares") to Nordika Blue AB ("Nordika"). The New Shares were issued on 10 November 2023. 9,339,985 of the New Shares were immediately listed on the Oslo Stock Exchange, while the remaining 40,660,015 New Shares were issued on a temporary ISIN pending the publication of a listing prospectus for these shares.

The Financial Supervisory Authority of Norway has today, on 15 December 2023, approved a prospectus prepared by the Company for the purpose of listing the remaining New Shares. The Prospectus is prepared in accordance with the EU Prospectus Regulation (Regulation (EU) 2017/1129 of the European Parliament and of the Council of 14 June 2017 and ancillary regulation, as implemented under Norwegian law.
