Oslo, Norway 14 June 2024 - Kyoto Group AS (the "Company" or "Kyoto") (Euronext

Growth: KYOTO) hereby convenes the annual general meeting to be held on Friday

28 June 2024 at 09:00 CEST at the Company's offices at Fornebuveien 1, 1367

Lysaker, Norway (the "Annual General Meeting").

The Annual General Meeting will consider the items that are required to be

considered by the annual general meeting pursuant to the Norwegian Private

Limited Liability Companies Act, in addition to other items set out in the

attached agenda. The agenda includes a proposal on a share capital increase as

further described in the stock exchange announcement issued by the Company

earlier today, 14 June 2024.

Please find attached to this stock exchange announcement, the notice for the

Annual General Meeting, including the attendance form and proxy in English and

Norwegian. The annual report for 2023 is available on the Company's website:

www.kyotogroup.no

The record date for voting at the Annual General Meeting is set to 21 June 2024.

Shareholders may appoint a proxy to attend and vote on their behalf. In this

case, a written and dated proxy must be provided to the CFO Håvard Haukdal

before 26 June 2023 at 16.00 CEST, in order for the Company to control the proxy

against the Company's shareholder register.
