1. Call to order

The meeting was called to order by chair of the general meeting Anne Omholt Hovstad.

2. Roll call

A roll call was made. Of a total of 28 members/deputy members, the roll showed the following members present:

3. Appointment of two members to co-sign the minutes

Harald Rune Øyhovden and Berit T. Knudsen were appointed to co-sign the minutes together with chair of the general meeting.

4. Approval of the agenda

The notice and agenda were made available in Admincontrol 10 September 2024. There were no objections to the notice and agenda. Vibekke Hellesund, Anders Gaudestad and Bolette Ingeberg were elected to count the votes.

5. Merger plan between Sparebanken Sør and Sparebanken Vest

CEO Geir Bergskaug informed about the merger plan between Sparebanken Sør and Sparebanken Vest and answered various questions.

A vote was conducted, and the proposal for a merger between Sparebanken Sør and Sparebanken Vest was approved.

The general meeting made the following decision:

The merger plan dated August 28, 2024, for the merger of Sparebanken Vest (org. no. 832 554 332) as, the acquiring bank, and Sparebanken Sør (org. no. 937 894 538) as the transferring bank, is approved. Sparebanken Sør will be dissolved upon the completion of the merger.
