**EKSTRAORDINÆR GENERALFORSAMLING I**

#### **NORDIC UNMANNED ASA**

Ekstraordinær generalforsamling i Nordic Unmanned ASA, org.nr. 999 642 381 ("**Selskapet**"), ble avholdt i Selskapets lokaler i Havnespeilet, 3. etasje, Rådhusgata 3, 4306 Sandnes, den 19. november 2024, kl. 10:00 (CET).

# **1. ÅPNING AV GENERALFORSAMLINGEN**

Styrets leder, Viggo Tjelta, åpnet generalforsamlingen.

#### **2. REGISTRERING AV FREMMØTTE AKSJONÆRER OG FULLMAKTER**

En liste over fremmøtte aksjonærer og fullmakter er inntatt som Vedlegg 1 til denne protokollen. Av vedlegget fremgår også antall aksjer og prosentandel av Selskapets aksjekapital som var representert på generalforsamlingen.

#### **3. VALG AV MØTELEDER OG EN PERSON TIL Å MEDUNDERTEGNE PROTOKOLLEN**

Styrets leder, Viggo Tjelta, ble valgt som møteleder. Stig Harry Christiansen ble valgt til å medundertegne protokollen sammen med møteleder.

# **4. GODKJENNING AV INNKALLING OG AGENDA FOR MØTET**

Generalforsamlingen fattet følgende vedtak:

*"Innkalling og dagsorden godkjennes."*

# **5. KAPITALFORHØYELSE VED RETTET EMISJON, MED SAMTIDIG KAPITALNEDSETTELSE VED REDUKSJON AV AKSJENES PÅLYDENDE**

Møteleder presenterte styrets forslag om å gjennomføre en rettet emisjon med bruttoproveny på NOK 45 millioner ved allokering av 90 000 000 nye aksjer i Selskapet til en tegningskurs på NOK 0,50 per *These minutes has been prepared both in Norwegian and in English. # **EXTRAORDINARY GENERAL MEETING OF**

#### **NORDIC UNMANNED ASA**

The extraordinary general meeting of Nordic Unmanned ASA, reg. no. 999 642 381 (the "**Company**"), was held at the Company's offices in Havnespeilet, 3. etasje, Rådhusgata 3, 4306 Sandnes, Norway, on 19 November 2024, at 10:00 hours (CET).

Følgende saker forelå på dagsordenen: The following matters were on the agenda:

# **1. OPENING OF THE GENERAL MEETING**

Chair of the Board, Viggo Tjelta, opened the general meeting.

### **2. REGISTRATION OF ATTENDING SHAREHOLDERS AND PROXIES**

A list of shareholders in attendance and proxies is included as Appendix 1 to these minutes. The appendix also states the number of shares and the percentage of the Company's share capital that was represented at the general meeting.

## **3. ELECTION OF CHAIR OF THE MEETING AND A PERSON TO CO-SIGN THE MINUTES**

Chair of the Board, Viggo Tjelta, was elected as chair of the meeting. Stig Harry Christiansen was elected to co-sign the minutes together with the chair of the meeting.

# **4. APPROVAL OF THE NOTICE AND THE AGENDA OF THE MEETING**

The general meeting made the following resolution:

*"The notice and agenda are approved."*

# **5. SHARE CAPITAL INCREASE THROUGH A PRIVATE PLACEMENT, WITH SIMULTANEOUS REDUCTION OF THE PAR VALUE OF THE SHARES**

The chair of the meeting presented the proposal of the board of directors to complete the private placement with gross proceeds of NOK 45 million by allocation of 90,000,000 shares in the Company at a subscription aksje, som annonsert av Selskapet den 31. oktober 2024, med samtidig reduksjon av aksjenes pålydende fra NOK 1,00 til NOK 0,25 per aksje.

I samsvar med styrets forslag, fattet generalforsamlingen følgende vedtak:

- *i. Selskapets aksjekapital nedsettes med NOK 13 002 234,75 fra NOK 17 336 313 til NOK 4 334 078,25 ved at aksjenes pålydende reduseres fra NOK 1,00 til NOK 0,25. Nedsettelsesbeløpet skal overføres til annen egenkapital. Kapitalnedsettelsen gjøres med grunnlag i selskapets reviderte årsregnskap for 2023.*
- *ii. Selskapets aksjekapital økes med NOK 22 500 000 ved utstedelse av 90 000 000 aksjer, hver pålydende NOK 0.25.*
- *iii. Tegningskursen skal være NOK 0,50 per aksje. NOK 27 500 000 av tegningsbeløpet skal innbetales kontant til en særskilt emisjonskonto, mens NOK 17 500 000 av tegningsbeløpet skal gjøres opp ved gjeldskonvertering som angitt i punkt (iv) nedenfor.*
- *iv. Oppgjøret for Tilbudsaksjene skal gjøres delvis ved kontantinnskudd og delvis ved motregning av NOK 17 500 000 under Selskapets lånefasilitet med Tjelta Eiendom AS (motregning anses erklært ved tegning). For en nærmere beskrivelse av denne delen av aksjeinnskuddet vises det til revisors redegjørelse for gjeldskonverteringen etter allmennaksjeloven §§ 10-2 (3), jf. § 2-6.*
- *v. Tilbudsaksjene skal tegnes av Pareto Securities AS på vegne av, og i henhold til fullmakter, fra de som har tegnet seg for og blitt tildelt aksjer i den Rettede Emisjonen. Aksjeeiernes fortrinnsrett er således fraveket, jf. allmennaksjeloven §§ 10-4 og 10-5.*
- *vi. Tegning av aksjene gjøres på særskilt tegningsdokument innen to uker etter generalforsamlingens dato.*
- *vii. Tilbudsaksjene gir rett til utbytte og andre rettigheter fra tidspunktet for registrering av kapitalforhøyelsen i Foretaksregisteret.*

price of NOK 0.50 per share, as announced by the Company on 31 October 2024, with a simultaneous reduction of the par value of the Company's shares from NOK 1.00 to NOK 0.25 per share.

In accordance with the board of directors' proposal, the general meeting passes the following resolution:

- *i. Selskapets aksjekapital nedsettes med NOK 13 002 234,75 fra NOK 17 336 313 til NOK 4 334 078,25 ved at aksjenes pålydende reduseres fra NOK 1,00 til NOK 0,25. Nedsettelsesbeløpet skal overføres til annen egenkapital. Kapitalnedsettelsen gjøres med grunnlag i selskapets reviderte årsregnskap for 2023.*
- *ii. The Company's share capital is increased with NOK 22,500,000 by the issue of 90,000,000 shares, each at par value NOK 0.25.*
- *iii. The subscription price shall be NOK 0.50 per share. NOK 27,500,000 of the subscription amount shall be paid in cash to a separate share issue account, while NOK 17,500,000 of the subscription amount shall be settled by debt conversion as specified in item (iv) below.*
- *iv. Settlement for the Offer Shares shall be made partially by cash contribution and partially by offsetting NOK 17,500,000 under the Company's loan facility with Tjelta Eiendom AS (offsetting shall be deemed declared upon subscription). For a detailed description of this part of the share contribution, reference is made to the auditor's report on the debt conversion pursuant to the Norwegian Public Limited Liability Companies Act §§ 10-2 (3), cf. § 2-6.*
- *v. The Offer Shares shall be subscribed for by Pareto Securities AS, on behalf of and by proxy from those who have subscribed for and been allocated shares in the Private Placement. The shareholders' preferential rights are consequently waived, cf. the Companies Act §§ 10-4 and 10-5.*
- *vi. Subscription of the shares is done on a separate subscription form within two weeks following the date of the general meeting.*
- *vii. The Offer Shares give right to dividend and other rights from the time of registration in the Norwegian Register of Business Enterprises.*
- *viii. Utgiftene ved kapitalforhøyelsen estimeres til å utgjøre rundt NOK 500 000.*
- *ix. Selskapets vedtekter § 4 første ledd endres til å reflektere den nye aksjekapitalen etter kapitalnedsettelsen og den samtidige kapitalforhøyelsen, og skal ha følgende ordlyd:*

*"Selskapets aksjekapital er NOK 26 834 078,25 fordelt på 107 336 313 aksjer, hver pålydende NOK 0.25."*

# **6. FULLMAKT TIL STYRET TIL Å ØKE AKSJEKAPITALEN I FORBINDELSE MED EN ETTERFØLGENDE REPARASJONSEMISJON**

I samsvar med styrets forslag, fattet generalforsamlingen følgende vedtak:

- *i. Styret gis fullmakt til å øke Selskapets aksjekapital med inntil NOK 5 000 000, ved utstedelse av inntil 20 000 000 aksjer, hver pålydende NOK 0,25.*
- *ii. Fullmakten skal benyttes for å utstede ordinære aksjer i en etterfølgende reparasjonsemisjon i forbindelse med den Rettede Emisjonen vedtatt av generalforsamlingen under punkt 5 ovenfor.*
- *iii. Tegningskurs ved bruk av fullmakten skal være NOK 0,50 per aksjer.*
- *iv. De eksisterende aksjonærenes fortrinnsrett etter allmennaksjeloven § 10-4, jf. § 10-5, kan fravikes.*
- *v. Fullmakten gjelder kun utstedelse av aksjer mot oppgjør i kontanter.*
- *vi. Fullmakten er gyldig frem til ordinær generalforsamling i 2025, men ikke lenger enn til 30. juni 2025.*
- *vii. Styret gis fullmakt til å endre Selskapets vedtekter for å reflektere nytt antall aksjer og ny aksjekapital etter bruk av fullmakten.*
- *viii. Vedtaket er betinget av godkjennelse fra generalforsamlingen av forslagene i agendaens punkt 5, samt registrering av kapitalforhøyelsen og kapitalnedsettelsen.*
- *viii. The expenses related to the share capital increase are estimated to amount to around NOK 500,000.*
- *ix. Section 4 first paragraph of the Company's articles of association is amended to reflect the new share capital following the share capital reduction and the simultaneous share capital increase, and shall have the following wording:*

*"The company's share capital is NOK 26,834,078.25 divided into 107,336,313 shares, each with a par value of NOK 0.25."*

# **6. BOARD AUTHORZATION TO INCREASE THE SHARE CAPITAL IN CONNECTION WITH A SUBSEQUENT REPAIR OFFERING**

In accordance with the board of directors' proposal, the general meeting passes the following resolution:

- *i. The Board is authorized to increase the Company's share capital with up to NOK 5,000,000, through the issuance of up to 20,000,000 shares, each with a par value of NOK 0.25.*
- *ii. The authorization shall be utilized to issue shares in a subsequent repair offering in connection with the Private Placement resolved by the general meeting under item 5 above.*
- *iii. The subscription price when using the authorization shall be NOK 0.50 per share.*
- *iv. Existing shareholders' preferential rights under section 10-4, cf. 10-5 of the Companies Act, may be waived.*
- *v. The authorization only allows a capital increase against payment in cash.*
- *vi. The authorization is valid until the annual general meeting in 2025, but no longer than until 30 June 2025.*
- *vii. The Board is authorized to amend the Company's Articles of Association to reflect new number of shares and share capital upon use of the authorization.*
- *viii. The resolution is conditional upon the approval by the general meeting of the resolutions proposed in item 5 above, as well as registration of the share capital increase and the share capital reduction.*
