Conversion of primary capital to equity certificate capital and establishment of a savings bank foundation – decision on implementation
Sparebanken Møre refers to previous stock exchange announcements on the matter, most recently announcement of 4 November 2024 regarding the approval of the application for the establishment of a savings bank foundation.
The board of directors of Sparebanken Møre has today decided to implement the conversion of NOK 25,999,252.50 of the bank's primary capital into equity certificate capital in accordance with the resolution adopted by the general meeting of the bank on 28 February 2024. In connection with the conversion, the statutory equity certificate capital will be increased by NOK 7,215,000 through the issuance of new equity capital certificates, each with a nominal value of NOK 20.
The board of directors of the bank has further resolved to establish Sparebankstiftelsen Sparebanken Møre, which will receive the equity capital certificates issued in connection with the conversion at no cost. The newly issued equity capital certificates will be transferred to Sparebankstiftelsen Sparebanken Møre as soon as the conversion is registered in the Norwegian Register of Business Enterprises.
