OPENING OF THE FIRST EXERCISE PERIOD OF "WARRANT SIMONE 2023-2026"

2 DECEMBER 2024 - 17 DECEMBER 2024 (INCLUSIVE)

Milan, 28th November 2024 – Simone S.p.A. ("Simone" or the "Company"), a company operating in the publishing sector, announces that on 2 December 2024 the First Exercise Period of the "Warrant Simone 2023-2026", ISIN code IT0005573172 (the "Warrants"), will commence and close on 17 December 2024 (inclusive).

Warrant holders have the right to subscribe to the Conversion Shares, at a ratio of 1 (one) Conversion Share for every 4 (four) Warrants held, at a price per Conversion Share of Euro 2.20 ("First Exercise Period Price").

Subscription requests may be made on any bank business day in the period between 2 December and 17 December 2024, inclusive ("First Exercise Period") and must be submitted to the Intermediary member of Monte Titoli S.p.A. with which the Warrants are deposited.

It is agreed that if the Warrant holders do not request to subscribe the Conversion Shares by the final deadline of the First Exercise Period (17th December 2024), they will lose the relevant right, without prejudice to the right to exercise the Warrants again in each of the following Exercise Periods.

Conversion Shares subscribed by Warrant holders during the First Exercise Period will be made available for trading, through Monte Titoli S.p.A., on the settlement day following the end of the last day of the First Exercise Period.

The Conversion Shares subscribed by the exercise of Warrants will have the same dividend entitlement as the Simone S.p.A. Ordinary Shares traded on Euronext Growth Milan on the date of issue of the Conversion Shares.
