APERTURA DEL TERZO E ULTIMO PERIODO DI ESERCIZIO DEI "WARRANT LINDBERGH 2021-2024"

Pescarolo ed Uniti (CR), 27 novembre 2024 - Lindbergh S.p.A. (EGM:LDB), Gruppo che offre servizi nei settori MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, Air Conditioning) ed Economia Circolare, comunica che i portatori dei "Warrant Lindbergh 2021- 2024", codice ISIN IT0005469207, potranno richiederne l'esercizio a decorrere dal 5 dicembre 2024 fino al 20 dicembre 2024, termine iniziale e finale compresi (il "Terzo Periodo di Esercizio").

I portatori dei Warrant avranno la facoltà di sottoscrivere le Azioni di Compendio nel rapporto di una Azione di Compendio per ogni n. 2 Warrant esercitati (il "Rapporto di Esercizio"), a un prezzo per Azione di Compendio – valevole per il Terzo e Ultimo Periodo di Esercizio dei Warrant – pari a euro 2,21 cadauna (il "Prezzo di Esercizio").

Le richieste di sottoscrizione potranno essere effettuate in qualsiasi giorno lavorativo nel corso del Terzo Periodo di Esercizio, e dovranno essere presentate all'intermediario aderente a Monte Titoli S.p.A. presso cui verranno depositati i Warrant.

Qualora i titolari dei Warrant non richiedano di sottoscrivere le Azioni di Compendio entro il termine finale del Terzo Periodo di Esercizio (20 dicembre 2024), i Warrant non esercitati decadranno da ogni diritto, estinguendosi ad ogni effetto.

L'emissione e la messa a disposizione per la negoziazione, per il tramite di Monte Titoli S.p.A., delle Azioni di Compendio sottoscritte dai titolari dei Warrant durante il Terzo Periodo di Esercizio avranno luogo il giorno di liquidazione successivo al termine dell'ultimo giorno del Terzo Periodo di Esercizio.

Le Azioni di Compendio avranno godimento pari a quello delle Azioni Ordinarie di Lindbergh negoziate su Euronext Growth Milan alla data di emissione delle Azioni di Compendio.

LINDBERGH S.p.A.: OPENING OF THE THIRD AND FINAL EXERCISE PERIOD OF THE "LINDBERGH 2021-2024 WARRANTS"

Pescarolo ed Uniti (CR), 27 November 2024 - Lindbergh S.p.A. (EGM:LDB), an Italy-based Group primarily engaged in providing services for MRO (Maintenance, Repair & Operations), HVAC (Heating, Ventilation, Air Conditioning) and Circular Economy segments, announces today that holders of the "Lindbergh 2021-2024 Warrants", ISIN code IT0005469207, will be able to request its exercise from 5 December 2024 until and including 20 December 2024, the initial and final terms (the 'Third Exercise Period').

Warrant holders will have the right to subscribe to the Conversion Shares in the ratio of one Conversion Share for every two Warrants exercised (the 'Exercise Ratio'), at a price per Conversion Share - valid for the Third and Last Exercise Period of the Warrants - equal to Euro 2.21 each (the 'Exercise Price').

Subscription requests may be made on any business day during the Third Exercise Period and must be submitted to the intermediary member of Monte Titoli S.p.A. where the Warrants will be deposited.

If the Warrant holders do not request to subscribe for the Conversion Shares by the final deadline of the Third Exercise Period (20 December 2024), the unexercised Warrants shall be forfeited and shall lapse for all purposes.

The issue and making available for trading, through Monte Titoli S.p.A., of the Conversion Shares subscribed by the Warrant holders during the Third Exercise Period will take place on the settlement day following the end of the last day of the Third Exercise Period.

The Conversion Shares shall have the same dividend rights as the Lindbergh Ordinary Shares traded on Euronext Growth Milan on the date of issue of the Conversion Shares.
