Notice of change in share capital
Cagliari, 21/11/2024
Tessellis S.p.A. (the 'Company' or 'Tessellis'), with reference to the shareholders' resolution approved pursuant to Article 2445 of the Italian Civil Code on 17.06.2024, announces that the voluntary reduction of the share capital pursuant to Article 2445 was completed today, with the filing with the Company Register of Cagliari.
Please note that the reduction of the share capital pursuant to Article 2445 was deliberated in order to create a non-distributable extraordinary reserve, therefore, the overall amount of the Company's shareholders' equity and the number of issued shares remain unchanged.
The Company also filed the updated version of the bylaws, which are available on its website (www.tessellis.it) and on the centralised storage mechanism 'eMarket Storage', managed by Teleborsa S.r.l..
