Prospectus in connection with the listing of:

· 1,080,000 new shares placed through a

completed private placement at subscription

price of NOK 6 per new share

· 625,000 new shares resolved issued in

connection with the acquisition of the

demerged Netclient AS at subscription price of

NOK 8 per new share

· 232,875 new shares resolved issued in

connection with the acquisition of 10.18 % of

the shares in the subsidiary Oyatel AS at

subscription price of NOK 8 per new share
