HOLLAND COLOURS PRESS RELEASE

The annual general meeting of shareholders of Holland Colours NV held today (agenda and explanation available at www.hollandcolours.com) adopted following of the proposed resolutions:

• The Financial Statements for the financial year 2017/2018 were adopted;
• The appropriation of the profit has been adopted and the dividend for the financial year 2017/2018 was declared at € 3.39 per ordinary share witha nominal value of € 2.27. The dividend will be made available for distribution in cash. Dividend in cash is subject to 15% Dutch dividend withholding tax. The ex-dividend date is July 16, 2018. The dividend record date is July 17, 2018 (after stockexchange close). The payment of the dividend of ordinary shares will take place per July 20, 2018;
• Discharge was granted to the members of the Statutory Board and the members of the Supervisory Board;
• The Statutory Board has been extended to 3 members, now existing of the CEO, CFO and CTO;
• Mr. C.W.H. Vinke has been appointed as the CEO, replacing Mr. R. Harmsen;
• Mr. E.M.S. van Hamersveld has been appointed as CTO;
• The number of members of the Supervisory Board has been reduced to 4. Mr. J.W. de Heer and M.G.R. Kemper stepped down;
• Mr. G.H. de Heer has been appointed as member of the Supervisory Board;
• The designation of the Statutory Board to acquire company shares, with approval of the Supervisory Board, is granted until January 12, 2020.

Additionally, we like to point out that the proposal for amendment of articles of association was not put to a vote because the terms of having ¾ of the issued capital represented were not met. We will call for an Extraordinary Meeting of Shareholders for Monday the 27th of August 2018 at 10.00 am at the office of the company.
