REPLY S.p.A.: Presentazione di lista di minoranza per la nomina del Collegio Sindacale

Reply S.p.A. comunica che alla scadenza del termine per la presentazione delle liste per la nomina dei componenti il Collegio Sindacale, da sottoporre alla prossima Assemblea ordinaria degli Azionisti, non sono state presentate ulteriori liste, oltre a quella dell'azionista Alika S.r.l., in qualità di controllante diretta.

Conseguentemente, gli Azionisti hanno la possibilità di presentare liste di candidati alla carica di Sindaco sino al prossimo 1° aprile 2015, ai sensi di Statuto e dell'art. 144-sexies, del Regolamento CONSOB n. n. 11971/1999. La quota minima di partecipazione richiesta per la presentazione delle liste è ridotta all'1,25% delle azioni aventi diritto di voto nell'Assemblea ordinaria sottoscritto alla data di presentazione della lista.

REPLY S.p.A.: Presentation of minority slate for the appointment of the Board of Statutory Auditors

Reply S.p.A. declares that at the deadline to present the slates for the appointment of Board of Statutory Auditors, to submit at the next Annual Shareholder's meeting, there were no further slates presented, besides the one from Alika S.r.l., in quality of direct controller.

Consequently, Shareholders can present slates of candidates to the office of Statutory Auditor until on 1 st of April under the by-laws and the article 144-sexies, of the CONSOB Regulation n. 11971/1999. The minimum ownership of the voting share capital requested has been reduced to 1.25% of the shares having voting rights in the General Meeting, undersigned at the date of presentation of the list.
