COMUNICAZIONE AI SENSI DEGLI ARTICOLI 70 E 84 DEL REGOLAMENTO EMITTENTI (DELIBERA CONSOB N. 11971/99 E SUCCESSIVE INTEGRAZIONI E MODIFICHE)

San Giovanni in Marignano, 24 Giugno 2015 - Il Consiglio di Amministrazione di Aeffe Spa - società del lusso, quotata al segmento STAR di Borsa Italiana, che opera sia nel settore del prêt-à-porter sia nel settore delle calzature e pelletteria con marchi di elevata notorietà, tra cui Alberta Ferretti, Moschino, Pollini, Emanuel Ungaro e Cédric Charlier, informa che in data odierna è stato redatto e depositato presso il Registro Imprese di Rimini il progetto di fusione per incorporazione in Aeffe S.p.A. di Nuova Stireria Tavoleto S.r.l., società del Gruppo posseduta da Aeffe S.p.A. al 100%.

Decorsi i termini di legge, la fusione sarà sottoposta all'approvazione del Consiglio di Amministrazione.

Gli azionisti che rappresentano almeno il 5% del capitale sociale possono richiedere, entro 8 giorni dalla data sopra indicata e tramite lettera raccomandata a.r. da spedirsi alla sede legale della società – all'attenzione dell'Ufficio Legale – che la decisione di approvazione della fusione sia adottata dall'assemblea straordinaria degli azionisti.

La documentazione relativa all'operazione è messa a disposizione del pubblico, nei termini e con le modalità previste dalle disposizioni di legge, presso la sede sociale, sul sito internet della società www.aeffe.com (sezione "documenti societari") e presso Borsa Italiana.

COMMUNICATION PURSUANT ARTICLES 70 AND 84 OF THE ISSUERS' REGULATION (CONSOB's RESULTION NO. 11971/1999 AND SUBSEQUENT ADDITIONS AND AMENDMENTS)

San Giovanni in Marignano, 24 June 2015 – The Board of Directors of the company Aeffe SpA, listed on the STAR segment of Borsa Italiana, which operates in the luxury sector, with a presence in the prêt-à-porter, footwear and leather goods division under renowned brand names such as Alberta Ferretti, Moschino, Pollini, Emanuel Ungaro and Cédric Charlier, announces that the project to merge the 100% directly owned company "Nuova Stireria Tavoleto S.r.l." in Aeffe S.p.A. has been today drafted and deposited at Rimini's Companies Registration Offices.

Once the period fixed by the law will be elapsed, the merger will be submitted to the approval of the Board of Directors.

The shareholders that represent at least the 5% of the share capital of the company have the right to request, within 8 days from the above mentioned date and sending a certified letter to legal seat of the Company – att: legal department – that the decision on the merger will be adopted by the extraordinary shareholding meeting.

The documents concerning the operation are available at the company's registered office, at the Italian Stock Exchange (Borsa Italiana S.p.A.) and on the website www.aeffe.com (section "company documents").
