Vimercate (Monza e Brianza), 30 luglio 2015 – La Società rende noto che taluni soci, con atto notificato in data odierna, hanno impugnato di fronte al Tribunale di Milano le deliberazioni di cui ai punti (4) e (6) dell'ordine del giorno dell'assemblea dei soci del 30 aprile 2015, aventi ad oggetto la relazione sulla remunerazione ex art. 123 – ter del D. Lgs. N. 58 del 24 febbraio 1998, nonché un piano di compensi a favore di componenti del Consiglio di Amministrazione e dirigenti della Società, mediante attribuzione di diritti di assegnazione gratuita di azioni della Società a favore dei beneficiari al raggiungimento di determinati obiettivi.

Esprinet S.p.A. informs that certain shareholders have challenged, before the Court of Milan, the resolutions as of point (4) and (6) of the agenda of the general shareholders' meeting of the Company held on April 30th , 2015, and having as object respectively the report on the remuneration prepared according to article 123 of the Legislative Decree n. 58 of February 24th 1998, and an incentive plan, to the benefit of the Directors and managers of the Company, consisting in the granting to such beneficiaries of rights to subscribe for free the shares of the Company subject to the occurrence of certain performance targets.
