Tiscali: Publishing of the documents related to the Annual Shareholders'meeting

Cagliari, 1 September 2015

The Company informs that the following documents relating to the Extraordinary Shareholders' meeting - with unique call set for 29 September - have been published on the Italian stock Exchange and on the company's website www.tiscali.com (Governance section):

• (i) the Interim financial report as at 30 June 2015, the Board of Directors' illustrative document and the independent auditors' and the statutory auditors' reports;
• (ii) the merger project and the Statute of the surviving company after the merger;
• (iii) Reports of boards of directors of the Companies Participating in the Merger pursuant to art. 2501-quinquies of the Civil Code and Art. 70 c. 2 of the Issuers' Regulation, complete with attachments;
• (iv) Financial Statements of the Companies Participating in the Merger pursuant to article 2501-quater of the Civil Code;
• (v) Opinion of the expert pursuant to art. 2501-sexies of the Civil Code;
• (vi) Tiscali S.p.A. Financial reports referred to the last three years and together with the audit certifications;
• (vii) Annual Special Financial Report by Aria Italia S.p.A. (newly established company);

Tiscali S.p.A. informs that the auditing firm Ernst & Young has expressed a positive opinion on the consolidated financial statements of the Group as at 30 June 2015, without remarks, certifying compliance with the regulations. The report contains an emphasis of the profile of business continuity.

Further documentation required by the regulations has already been made available both at the Company's premises and Borsa Italia Stock Exchange, and published today on the Company's website at www.tiscali.com. It is to be noted that the Information Paper prepared pursuant to art. 70 c. 6 Issuers Regulation will be made available by the deadlines envisaged by current legislation.
