Comunicato stampa Consiglio di Amministrazione RCS MediaGroup

Milano, 1° ottobre 2015 - Alla luce dell'attuale stato delle trattative e del permanere di punti ancora aperti, il Consiglio – riunitosi ieri sotto la presidenza di Maurizio Costa ha dato mandato all'Amministratore Delegato di verificare la possibilità di finalizzare entro i prossimi giorni l'operazione con Arnoldo Mondadori Editore S.p.A. in merito alla partecipazione in RCS Libri S.p.A..

Inoltre il Consiglio, nel contesto dell'evoluzione organizzativa della Funzione Amministrativa, ha deliberato che a far data da ieri Riccardo Taranto, CFO del Gruppo, assuma la carica di Dirigente preposto alla redazione dei documenti contabili societari e ha infine deliberato di convocare la riunione del CdA per approvazione del Resoconto Intermedio di gestione al 30 settembre 2015 per il 12 novembre 2015.

Il Consiglio di Amministrazione ha infine approvato – previo parere favorevole di tutti gli Amministratori indipendenti con funzioni di Comitato per la Procedura Parti Correlate – l'adozione di alcune modifiche alla vigente Procedura in materia di operazioni con parti correlate adottata ai sensi del Regolamento Consob n. 17221 del 12 marzo 2010 e sue successive modifiche ed integrazioni. Le modifiche – deliberate avuto riguardo in particolare ad intervenute variazioni negli assetti proprietari ed organizzativi nonché all'esigenza di procedere ad alcuni aggiornamenti e precisazioni testuali – troveranno applicazione a decorrere dal 1° ottobre 2015 (l'edizione aggiornata della Procedura sarà pubblicata sul sito internet della Società www.rcsmediagroup.it nella giornata odierna).

Board of Directors of RCS MediaGroup

Milan, 1 October 2015 – In light of the current state of the negotiations and a number of still open issues, the Board of Directors of RCS MediaGroup - meeting yesterday under the Chairmanship of Maurizio Costa - mandated the Chief Executive Officer to clarify if it is possible for the transaction with Arnoldo Mondadori Editore S.p.A. in relation to the Group's shareholding in RCS Libri S.p.A. to be finalised in the coming days.

The Board further agreed, in the context of the organisational evolution of the Group's administrative functions that with effect from yesterday's date Riccardo Taranto, the Group CFO, would assume the role of Financial Reporting Officer of RCS MediaGroup and also agreed that a meeting of the Board of Directors would be called for 12 November 2015 to approve the Quarterly Report as at 30 September 2015.

Finally the Board of Directors approved – as recommended by all the Independent Directors in their oversight role for related party transactions – the adoption of certain amendments to the current procedure regarding transactions with related parties adopted pursuant to Consob Regulation 17221 of 12 March 2010 as amended. The amendments approved – relating in particular to changes in ownership structure and organisation that have taken place, as well as the need to apply certain updates and wording clarifications – will be effective from 1 October 2015 (the updated version of the Procedure will be published today on the Company's website www.rcsmediagroup.it).
