Milano, 8 ottobre 2015 - Il Consiglio di Amministrazione di RCS MediaGroup, riunitosi in data odierna sotto la presidenza di Maurizio Costa per aggiornamenti in merito al percorso intrapreso con le banche finanziatrici per la ridefinizione delle condizioni del finanziamento, ha preso atto della volontà dell'Amministratore Delegato Pietro Scott Jovane di lasciare il proprio incarico e tutte le cariche operative in RCS MediaGroup, ritenendo concluso un ciclo della vita aziendale e manifestando l'intenzione di intraprendere un nuovo percorso professionale.
Il Consiglio ha concordato con il dott. Jovane termini e condizioni per la cessazione del rapporto di lavoro, definendo come ultimo giorno lavorativo il prossimo 15 ottobre. Il Presidente e il Consiglio di Amministrazione hanno espresso vivi ringraziamenti al dott. Jovane per l'attività svolta durante il suo mandato alla guida del Gruppo, formulandogli un sentito augurio per le sue future attività professionali.
Il Consiglio ha altresì deciso di affidare temporaneamente le deleghe per l'ordinaria amministrazione al Presidente Maurizio Costa, supportato dal management, ponendosi l'obiettivo di individuare al più presto il nuovo Amministratore Delegato.
Il Consiglio di Amministrazione riconferma l'intenzione di investire e rafforzare i settori News e Sport, unitamente alla coerente ricerca di azioni di efficientamento.

Milan, 8 October 2015 - The Board of Directors of RCS MediaGroup has acknowledged the desire of CEO Pietro Scott Jovane to leave his position and all executive roles at the company, as he believes that the company has come to the end of a life cycle and wishes to embark on a new career path. The Board of Directors reached the decision at today's meeting chaired by Maurizio Costa, which was called to assess the progress made with the company's lenders to renegotiate loans.
The Board has agreed terms and conditions with Mr. Jovane for the termination of the employment relationship. His last day with the company will be 15 October 2015. The Chairman and the entire Board of Directors expressed sincere thanks to Mr. Jovane for his work during his time at the head of the group, and also wished him all the very best of his future professional endeavours.
The Board decided to pass all relevant powers for the ordinary administration on an interim basis to the Chairman, Mr. Maurizio Costa, assisted by management, with the aim of identifying the company's next CEO as soon as possible, whose first task will be to draw up the new Business Plan, based on the strategic guidelines already announced by the company.
The Board of Directors reiterates the intention to invest in and strengthen its News and Sport segments, while also seeking ways to improve efficiency.

Milano, 8 ottobre 2015 - Con riferimento all'accordo di cessazione del rapporto di lavoro subordinato e del rapporto di amministrazione tra il dott. Pietro Scott Jovane e RCS MediaGroup S.p.A., quest'ultima rende noto che il Consiglio di Amministrazione della Società, nella seduta odierna, dopo aver compiuto le opportune verifiche e le necessarie valutazioni, ha deliberato che, ai sensi del predetto accordo, al dott. Jovane venga corrisposta la somma lorda di Euro 150.000,00 nell'ambito di una transazione generale novativa che preveda la risoluzione consensuale del rapporto di lavoro alla data del 15 ottobre 2015 e la cessazione immediata del rapporto di amministrazione inscindibilmente connesso al rapporto di lavoro.
La somma sopra indicata verrà corrisposta entro il 30 ottobre 2015 a fronte della rinuncia da parte del dott. Jovane nei confronti della Società e di ogni altra società del Gruppo a ogni domanda o diritto comunque connessi o occasionati dagli intercorsi rapporti di lavoro e di amministrazione e dalla loro risoluzione.
È previsto a carico del dott. Jovane anche un patto di non concorrenza riferito a tutti i competitor della Società che operano prevalentemente nel settore dell'editoria cartacea o digitale, valido su tutto il territorio italiano e spagnolo, della durata di 12 mesi a decorrere dalla data di cessazione del rapporto di lavoro subordinato con la Società, e che comporta anche l'assunzione da parte del dott. Jovane di un complesso di ulteriori obbligazioni a tutela della Società e dell'intero Gruppo. A fronte di tali obbligazioni di non concorrenza e del loro regolare adempimento, al dott. Jovane verrà corrisposto un compenso lordo complessivo pari ad Euro 600.000,00, che sarà versato in rate trimestrali uguali posticipate a decorrere dalla data di cessazione del rapporto di lavoro.
Entro il 30 novembre 2015 verranno corrisposti al dott. Jovane il TFR (che verrà versato al relativo Fondo per la parte non accantonata presso la Società), le competenze di fine rapporto maturate ai sensi di legge e il Trattamento di Fine Mandato previsto in relazione agli incarichi di amministrazione ricoperti dal contratto sottoscritto con il dott. Jovane nel 2012.
Le attribuzioni sopra indicate sono state determinate in conformità e in coerenza con quanto indicato nella Politica di Remunerazione pubblicata dalla Società e tenendo conto anche degli obblighi assunti con il dott. Jovane nel 2012, in occasione della instaurazione del rapporto di lavoro subordinato con la Società. In ragione dell'attribuzione complessivamente determinata come sopra indicato,
l'accordo si qualifica come operazione con parte correlata ai sensi della Procedura adottata dalla Società in materia.
L'operazione, prima dell'approvazione da parte del Consiglio di Amministrazione, è stata pertanto esaminata dal Comitato Remunerazione di oggi, composto esclusivamente da amministratori indipendenti e non correlati. Il Comitato - che svolge, in materia di remunerazioni e benefici economici ai Consiglieri e dirigenti con responsabilità strategiche, le funzioni assegnate dalla Procedura a un comitato interno al Consiglio - ha espresso il proprio parere motivato favorevole alla conclusione dell'accordo.

Milan, 8 October 2015 - With reference to the agreement to terminate the employment and directorship relationship between Mr. Jovane and RCS MediaGroup S.p.A., the company announces that the Board of Directors has decided to pay Mr. Jovane a gross sum of €150,000.00 by way of a general and all-encompassing settlement for the consensual termination of the employment relationship on 15 October 2015 and the immediate cessation of the directorship inextricably connected to the working relationship. The decision was taken at the board meeting of today having completed the required checks and assessments.
This sum is to be paid by 30 October 2015 in exchange for Mr. Jovane waiving all other claims or rights enforceable against the company or other group companies, howsoever connected to or arising from the employment relationship and directorship, and their termination.
Mr. Jovane will also be subject to a non-competition clause covering all the company's competitors, mainly digital and traditional publishing companies, valid throughout Italy and Spain, for the duration of 12 months from the date of termination of his employment with the company. The compensation described above was also determined in light of Mr. Jovane's contribution to the company and his willingness to find a consensual solution to dissolving all relations with the group, which also involves Mr. Jovane accepting a series of further obligations to protect the company and the entire group.
In consideration of these non-competition obligations and proper compliance with them, Mr. Jovane will be paid a gross sum of €600,000.00, to be paid in equal three-monthly instalments in arrears, starting from the date of termination of the employment relationship.
Within November 30th, 2015, Mr. Jovane will receive his TFR (severance pay, that will be credited to the related Fund for the non-accrued part by the Company), his postemployements amounts due, by virtue of the rule of law, and the grant of an end of mandate indemnity, as foreseen by the directorship roles described in the contract signed with Mr. Jovane back in 2012.
The commitments outlined above have been determined in accordance with the company's published Remuneration Policy and also bearing in mind the commitments agreed with Mr. Jovane in 2012, at the beginning of his employment relationship with the
company. The compensation described above was also determined in light of Mr. Jovane's contribution to the company and his willingness to find a consensual solution to dissolving all relations with the group, which also involves Mr. Jovane accepting a series of further obligations to protect the company and the entire group.
In view of the overall payment determined as indicated above, the agreement is considered to be a related-party transaction under the company's procedure on the subject. Prior to its approval by the Board of Directors, the agreement was therefore examined by the Remuneration Committee of today, made up exclusively of independent and unrelated directors. The Committee – which performs the functions assigned by the procedure to a board committee on the subject of directors' remuneration and economic benefits – approved the finalisation of the agreement.
