PUBBLICAZIONE DEL PROSPETTO INFORMATIVO E DEL SUPPLEMENTO

Milano, 27 novembre 2015. Fiera Milano, facendo seguito ai comunicati stampa diffusi in data 25 novembre 2015 e 26 novembre 2015, comunica che CONSOB ha approvato in data odierna il supplemento al prospetto informativo relativo alle condizioni definitive, approvate dal Consiglio di Amministrazione del 26 novembre 2015, dell'offerta in opzione agli azionisti e all'ammissione alle negoziazioni sul Mercato Telematico Azionario, segmento STAR, organizzato e gestito da Borsa Italiana S.p.A. delle azioni ordinarie rivenienti dall'aumento di capitale per un importo complessivo massimo di 70 milioni di euro, approvato dall'Assemblea Straordinaria degli Azionisti del 31 luglio 2015.

Si ricorda che il calendario dell'Offerta è il seguente:

• i diritti di opzione potranno essere esercitati nel periodo compreso tra il 30 novembre 2015 e il 18 dicembre 2015 (estremi inclusi) ("Periodo di Offerta");
• i diritti di opzione saranno negoziabili in Borsa nel periodo compreso tra il 30 novembre 2015 e il 14 dicembre 2015 (estremi inclusi).

Il prospetto informativo relativo all'offerta in opzione di azioni ordinarie Fiera Milano, nonché il supplemento al prospetto informativo sono a disposizione del pubblico presso la sede legale e la sede operativa e amministrativa, nonché sul sito internet della Società www.fieramilano.it nella sezione Investor Relations/Aumento di Capitale e sul sito internet gestito da BIt Market Services S.p.A.

Dell'avvenuta pubblicazione del prospetto e del supplemento al medesimo, nonché della loro messa a disposizione del pubblico, sarà data idonea informazione ai sensi e nei termini previsti dalle disposizioni di legge e regolamentari con la pubblicazione di un apposito avviso sul quotidiano "Il Sole 24 Ore" del 28 novembre 2015.

FIERA MILANO: CONSOB APPROVES THE PROSPECTUS SUPPLEMENT FOR THE RIGHTS OFFER FOR MAXIMUM 31,126,821 ORDINARY SHARES

PUBLICATION OF THE PROSPECTUS AND THE PROSPECTUS SUPPLEMENT

Milan, 27 November 2015. Fiera Milano, following the press releases issued on 25 November 2015 and 26 November 2015, communicates that CONSOB has today approved the Prospectus Supplement containing the final terms of the Rights Offer for shareholders, decided by the Board of Directors at its meeting on 26 November 2015, and the admission to trading on the STAR Segment of the Mercato Telematico Azionario organised and managed by Borsa Italiana S.p.A. of the shares deriving from the share capital increase for a total maximum value of Euro 70 million approved by the Extraordinary Shareholders' Meeting of 31 July 2015.

The timetable of the rights offer is as follows:

• the rights may be exercised from 30 November 2015 to 18 December 2015 (inclusive) (the "Offer Period");
• the rights may be traded on the stock exchange from 30 November 2015 to 14 December 2015 (inclusive).

The Prospectus and the Prospectus Supplement are publicly available at the registered office and at the administrative and operational offices in Rho (Milan), as well as on the Company website www.fieramilano.it in the section Investor Relations/Capital Increase and on the website managed by BIt Market Services S.p.A.

A specific announcement that the Prospectus and the Prospectus Supplement have been published and are publicly available will be made, in accordance with and within the time required under enacted law and regulations, in the daily newspaper "Il Sole 24 Ore" of 28 November 2015.
