GO internet S.p.A.: UniCredit grants to Franco Colaiacovo Gold S.r.l. a loan with the right to a pledge of the shares of GO internet

Gubbio, 27th November 2015 - GO internet S.p.A., a company operating in the Mobile Internet field, is hereby reporting that, with an agreement executed on 26November 2015, UniCredit S.p.A. has granted to the shareholder Franco Colaiacovo Gold S.r.l. a short term loan to meet the cash requirements for the Group's business activities.

The Company is also reporting that, as a guarantee of the obligations deriving to the beneficiary from the loan agreement, a first-degree pledge has been granted to the financing bank, Unicredit S.p.A. It concerns the 3,122,445 ordinary shares representing 52.11% of the share capital of GO Internet S.p.A. held by Franco Colaiacovo Gold S.r.l. Pursuant to the deed of pledge, also signed on 26 November 2015, the voting rights and the administrative rights related to the shares, for all types of the Company's shareholders' meetings, will still be totally held by the shareholder Franco Colaiacovo Gold S.r.l. On this occasion, Franco Colaiacovo Gold S.r.l. has communicated a not binding interest in subscribing the capital increase announced in the press release of 25 October, for the entire amount of its shares in order to maintain its control over the company.

Finally, the Company is hereby reporting that the pledge was created by derogation from the lockup commitments undertaken by Franco Colaiacovo Gold S.r.l. toward Nomad and the minority shareholder WN S.r.l., with their prior written consent.
